No Modification of Collateral. Neither the Merger nor this Agreement are intended, and they shall not be construed, to effect any change in or to the Collateral securing the Loans or the perfection and priority of lien held by the applicable Lender prior to Closing. The Parties intend that all of the Collateral securing the Loans prior to Closing shall remain subject to the same lien and priority as security for such Loans after Closing.
