No Material Proceedings. (a) No litigation, arbitration, action or administrative proceeding of or before any court, arbitral body, or agency which would or is reasonably likely to have a Material Adverse Effect has been started or, to the best of its knowledge, is threatened or is pending against it or any member of the Group, other than litigation action or administrative proceedings commenced prior to the date of this Agreement, full details of which have been provided in writing to the Agent prior to the date of this Agreement and which are set out in Part IV of Schedule 10 (Existing Proceedings).
