No Litigation or Proceedings. There shall be no litigation or any proceeding by or before any governmental agency or instrumentality pending or threatened against any party hereto that seeks to restrain or enjoin or otherwise questions the legality or validity of the transactions contemplated by this Agreement or which seeks substantial damages in respect thereof.
No Litigation or Proceedings. As of the date hereof, there are no actions, suits, investigations or proceedings pending or to BP's knowledge threatened against or affecting BP at law or in equity or before or by any federal, state, municipal or other governmental or non-governmental department, commission, board, bureau, agency or instrumentality seeking to enjoin, restrain or otherwise prevent the execution and delivery of this Agreement by BP.
No Litigation or Proceedings. Except as set forth in Schedule 3.14.1, there is no pending civil or criminal litigation, notice of violation or administrative proceeding relating in any way to the Environmental Laws (it being understood that any such litigation, notice or proceeding identified on Schedule 3.14.1 is an Excluded Liability as provided in Subsection 1.4.3 herein), including but not limited to notices, demand letters, claims, litigations or proceedings based upon or relating to any federal, state or local Environmental Law.
No Litigation or Proceedings. No litigation, proceedings, lawsuit or investigations shall have been commenced with respect to any or all of the Acquired Assets, the Premises and/or the Business, which may be reasonably expected to result in a material adverse change thereto if decided adversely, nor shall any party seek to enjoin, prevent or alter any material performance under this Agreement or to prevent the Closing.
No Litigation or Proceedings. No legal action or other proceedings shall be pending or threatened which may materially and adversely affect the ability of the parties to consummate the transactions contemplated by this Agreement.

No injunction or restraining order of any federal or state court shall be in effect which prevents the Purchase or issuance and delivery of the Common Shares, and no lawsuit or other proceeding shall have been filed by any person prior to the Closing Date contesting or attempting to enjoin either action, and no action taken and no law shall have been passed after the date of this Agreement which prevents the Purchase or other transactions contemplated herein.
No Litigation or Proceedings. As of the date hereof, there are no actions, suits, investigations or proceedings pending or, to Seller's knowledge, threatened against Seller at law or in equity or before or by any federal, state, municipal or other governmental or non-governmental department, commission, board, bureau, agency or instrumentality seeking to enjoin, restrain or otherwise prevent the execution and delivery of this Agreement by Buyer.
No Litigation or Proceedings. There are no claims, actions, suits, proceedings, inquiries, labor disputes or investigations (whether or not purportedly on behalf of the Company) pending or, to the Company’s Best Knowledge, threatened against the Company or any of its assets, at law or in equity or by or before any governmental entity or in arbitration or mediation. No bankruptcy, receivership or debtor relief proceedings are pending or, to the Company’s Best Knowledge, threatened against the Company. The Company is not subject to or in default with respect to any order, writ, injunction or decree of any federal, state, local or foreign court, department, agency or instrumentality.
No Litigation or Proceedings. No action, suit, proceeding or investigation by a Governmental Entity shall be pending or, so far as is known to the Company or Xxxxxxx, be threatened, and no Governmental Entity shall have enacted any order or injunction which is in effect, which, in the case of such action, suit, proceeding, investigation, order or injunction, challenges the transactions contemplated by this Agreement or seeks to restrain or prevent the consummation of the transactions contemplated by this Agreement.
No Litigation or Proceedings. No action, suit or proceeding in any court or before any arbitrator or Governmental Authority shall have been commenced, no investigation by any Governmental Authority shall have been commenced and no action, suit, proceeding or investigation by any Governmental Authority shall have been threatened against any Loan Party that purports to enjoin, restrain, prohibit or otherwise adversely affect any transaction contemplated hereby, or that will have a Material Adverse Effect on any Loan Party; and
