No Liability for Expiration or Lawful Termination. EACH PARTY WAIVES AND RELEASES THE OTHER FROM ANY CLAIM TO COMPENSATION OR INDEMNITY FOR TERMINATION OF THE BUSINESS RELATIONSHIP CONTEMPLATED BY THIS AGREEMENT UNLESS TERMINATION IS IN MATERIAL BREACH OF THIS AGREEMENT.
