Common use of No Influence Clause in Contracts

No Influence. Successful Respondent represents, warrants, and covenants that neither Successful Respondent nor any of its Affiliates, nor any employee of either, nor any member of the immediate family of any such employee, has accepted or shall accept anything of value, or an inducement that would provide a financial gain, advantage or benefit, based on an understanding that the actions of Successful Respondent, any such Affiliates or any such employees on behalf of DIR would be influenced thereby; and neither Successful Respondent nor any of its Affiliates shall attempt to influence any DIR employee by the direct or indirect offer of anything of value.
