Common use of No Hedging Transactions Clause in Contracts

The Company Shareholder hereby agrees not to engage in any hedging transactions with regard to SurePure US Common Stock, unless in express compliance with the provisions of Regulation S, pursuant to registration under the Securities Act or pursuant to an exemption from the registration requirements of the Securities Act.
