No Governmental Entity. of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any Law (whether temporary, preliminary or permanent) that is in effect and enjoins or otherwise prohibits consummation of the transactions contemplated by this Agreement (an "Order"), and no Governmental Entity shall have instituted any proceeding seeking any such Order.

No Governmental Entity. of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any Law Legal Requirement or Order (whether temporary, preliminary or permanent) that is in effect and enjoins that prohibits or otherwise prohibits makes illegal, or materially impacts, the consummation of the transactions contemplated by this Agreement (an "Order"), and no Governmental Entity shall have instituted any proceeding seeking any such Order.or materially alters the terms of this Agreement;

No Governmental Entity. of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any Law or writ, judgment, decree, injunction or other order (whether temporary, preliminary or permanent) (collectively, an "Order") that is then in effect and restrains, enjoins or otherwise prohibits consummation of the transactions contemplated by this Agreement (an "Order")Merger, and no Governmental Entity shall have instituted any proceeding Proceeding which continues to be pending seeking any such Order.

No Governmental Entity. of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any Law (whether temporarystatute, preliminary rule or permanent) that regulation, or judgment, decree, injunction or other order which is in effect on the Closing Date and enjoins or otherwise prohibits the consummation of this Agreement and the transactions contemplated by this Agreement (an "Order"), and no Governmental Entity shall have instituted any proceeding seeking any such Orderhereby.

No Governmental Entity. of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any Law statute, law, ordinance, rule, regulation, judgment, decree, injunction or other order (whether temporary, preliminary or permanent) that is in effect and enjoins or otherwise prohibits consummation of the transactions contemplated by this Agreement (an "Order")Merger, and no federal or state Governmental Entity shall have instituted any proceeding that is pending seeking any such Orderjudgment, decree, injunction or other order to prohibit the consummation of the Merger.

No Governmental Entity. of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any Law or Order (whether temporary, preliminary or permanent) that is in effect and enjoins or otherwise prohibits taken any other action which, as of the Closing Date, prohibits, restricts or makes illegal consummation of the transactions contemplated by this Agreement (an "Order")herein contemplated, and no Governmental Entity formal proceeding seeking such an Order or action shall have instituted any proceeding seeking any such Orderbeen commenced.
