No Gifts. Vendor shall not give a gift or make an expenditure to or for the personal benefit of a Citizens officer or employee.
No Gifts. The Contractor has not provided, nor will the Contractor provide in the future any gifts, payments or other inducements to any officer, employee or agent of the Authority. The Contractor will not accept any gifts from Owners, Applicants, Participants, or Authority employees.

Developer covenants that no director, employee or agent of Developer, or any other Person connected with Developer, has made, offered or given, either directly or indirectly, to any member of the Corporate Authorities, or any officer, employee or agent of the Village, or any other Person connected with the Village, any money or anything of value as a gift or bribe or other means of influencing his or her action in his or her capacity with the Village.
No Gifts. Exhibitors shall not offer RAWF employees any complimentary gifts, gratuities or any item of value without charge.
No Gifts. To the extent that you are a public sector entity, you acknowledge that all Program Benefits provided by Microsoft under this Agreement at no charge are for the sole benefit and use of your organization or agency, and are not provided for personal use or benefit of any individual employee. If required by law, Microsoft may require an ethics officer of your organization to sign a letter acknowledging the foregoing.
No Gifts. It is the policy of the District to not accept gifts, gratuities, or favors of any kind or of any value whatsoever from vendors, members of the staff, or families. Contractor warrants that it has not employed or retained any company or person, other than a bona fide employee working solely for the Contractor, to solicit or secure this Agreement, and that it has not paid or agreed to pay any person, company, corporation, individual for firm, other than a bona fide employee working solely for the Contractor, any fee, commission, percentage, gift, or any other consideration, contingent upon or resulting from the award or making of this Agreement. Contractor further warrants that it, nor any of its directors, employees, officers or agents, nor any of Contractor’s respective subsidiaries or affiliates, has taken, is currently taking or will take any action in furtherance of an offer, payment, promise, gifts or anything else of value, directly or indirectly, to anyone to improperly influence or otherwise secure any improper advantage in procuring business in relation to this Agreement. For the breach or violation of these provisions, the District shall have the right to terminate this Agreement without liability and/or, at its discretion, to deduct from the price, or otherwise recover, the full amount of such fee, commission, percentage, gift, or consideration.
No Gifts. Seller agrees not to provide or offer to provide to any director, officer or employee of Buyer, or any member of such person’s family, any favors, gifts, loans or other benefits (including services and discounts as well as material goods), except casual entertainment or gifts (other than money) of nominal value which are customarily offered to others having a similar relationship with Seller, provided that the foregoing exception shall not apply if this order is placed under a U.S. government contract or a subcontract, or if Buyer otherwise notifies Seller that this order is placed under a U.S. government contract or a subcontract.

Neither Party shall, nor shall it permit its agents, representatives or personnel, to grant or offer the agents, representatives or personnel of the other, either directly or indirectly, any gifts, loans, gratifications, commissions or fees, personally benefiting said agents, representatives or personnel or any member of their families, or any company in which they hold a substantial interest, except for such small scale institutional gifts as are customary and permissible in accordance with best oil industry practices in the Western Hemisphere. If either Party shall breach this obligation, then this Agreement shall immediately terminate without prejudice to any other remedies or actions as may be prescribed by applicable law. Where either Party receives any requests from the agents, representatives or personnel of the other Party (or from third parties purporting to act on their behalf) for the granting of any gifts, loans, gratification, commissions or fees precluded by the preceding provisions of this Article 17.5, it shall promptly notify the other of such request together with such other information as may be required to investigate the relevant facts and circumstances.

Vendor shall immediately notify Citizens’ Contract Manager or designee in writing if it or any of its affiliates are placed on the convicted vendor list maintained by the State of Florida pursuant to Section 287.133, Florida Statutes, or on any similar list maintained by any other state or the federal government.
