No Further Ownership Rights in the Company Stock or Options. The portion of the Final Merger Cash Consideration and Share Consideration paid in respect of the exchange of Company Stock in accordance with the terms hereof shall be deemed to be in full satisfaction of all rights pertaining to such Company Stock, and, upon the Effective Time, there shall be no further registration of transfers on the records of the Surviving Corporation of Company Stock which were outstanding immediately prior to the Effective Time. No holder of Options, nor any other participant in the Company Stock Plan shall, from and after the Closing, have any right thereunder to acquire any securities of the Company or to receive any payment or benefit with respect to any award previously granted under the Company Stock Plan and the Company Stock Plan shall be terminated effective upon the Closing.
