No Exhaustion of Remedies. The Beneficiaries shall not be bound or obligated to exhaust their recourse against the Borrower, any Subsidiary or other persons or any securities or collateral it may hold or take any other action (other than to make demand pursuant to Article 5) before the Beneficiaries shall be entitled to demand, enforce and collect payment from the Guarantor hereunder.
No Exhaustion of Remedies. The Agent and the Lenders shall not be bound or obligated to exhaust their recourse against the Borrower, the Other Guarantors, any other Person or any securities or collateral they may hold or take any other action before being entitled to demand payment from the Guarantor hereunder.
No Exhaustion of Remedies. The Trustee will not be bound or obligated to exhaust its recourse against the Obligor or other Persons or any securities or collateral it may hold or take any other action before being entitled to demand payment from the Guarantor hereunder.

The Shareholders acknowledge that their obligation under Section 8.01 of this Agreement is independent of the obligations of the Company pursuant to this Agreement, and that the Shareholders waive any right to require the Acquiror Indemnified Parties to (i) proceed against the Company; or (ii) pursue any other remedy whatsoever in the power of the Acquiror Indemnified Parties.

The Vendor shall not be bound to exhaust its recourse against the Purchaser or any other persons or to realize on any securities it may hold in respect of the Notes before being entitled to payment from the Guarantor under this agreement. For greater certainty, the Vendor shall not be obliged before exercising any of the rights, powers or remedies conferred upon it in respect of the Guarantor under this agreement:

The Guaranteed Parties shall not be bound or obligated to exhaust their recourse against the Borrower, any of the Debtors or other Persons or any collateral security they may hold or take any other action before being entitled to demand payment from the Guarantor hereunder.

Holders may, upon notice to the Guarantor, enforce this Guaranty against the Guarantor and it shall not be necessary to enforce any undertaking of the Principal Obligor before proceeding under this Guaranty against the Guarantor. Demand, protest and presentment for payment are hereby waived.

TRQ will not be bound or obligated to exhaust its recourse against Service Provider or other persons or take any other action before being entitled to demand payment from Guarantor pursuant to Clause 6.1, and Guarantor hereby expressly irrevocably waives any rights it may have to require the same.
