No Employee Plan Sample Clauses

No Employee Plan is (i) a “Defined Benefit Employee Plan” (as defined in Section 414(j) of the Code); (ii) a “Multiemployer Employee Plan” (as defined in Section 3(37) of ERISA); or (iii) a plan subject to Section 412 of the Code or Section 302 or Title IV of ERISA, (collectively, a “Title IV or MP Plan”) nor have the Xxxxxxxx Parties or the Management Agreement Counterparties, nor any ERISA Affiliate thereof, ever maintained or contributed to any such a plan, or had an obligation to contribute to such a Title IV or MP Plan. Neither the Xxxxxxxx Parties, the Management Agreement Counterparties, nor any ERISA Affiliate thereof, has an obligation to indemnify or contribute to the obligation of any other party with respect to a Title IV or MP Plan. Also set forth in Part 5.20 is a complete and correct list of all ERISA Affiliates of the Xxxxxxxx Parties and the Management Agreement Counterparties during the last six (6) years.

The Company has provided Buyer with true, complete and correct copies of (i) the Company ERISA Benefit Plan and ERISA Affiliate Pension Plan, (ii) each trust agreement related thereto and (iii) all amendments to those plans and trust agreements. Except as Schedule 3.22 sets forth, (i) the Company is not, and at no time during the six-year period ended on the date hereof was, a member of any ERISA Group that currently includes, or included when the Company was a member, among its members any Person other than the Company and (ii) no Person is an ERISA Affiliate of the Company.
