Common use of No Duty Clause in Contracts

No Duty. All attorneys, accountants, appraisers, and other professional Persons and consultants retained by the Administrative Agent or any Lender shall have the right to act exclusively in the interest of the Administrative Agent and the Lenders and shall have no duty of disclosure, duty of loyalty, duty of care, or other duty or obligation of any type or nature whatsoever to Borrower, any other Loan Party, any of their respective Equity Interest holders or any other Person.

No Duty. All attorneys, accountants, appraisers, and other professional Persons and consultants retained by the Administrative Agent or Agent, any Lender or L/C Issuer shall have the right to act exclusively in the interest of the Administrative Agent and the Lenders or such Lender or L/C Issuer and shall have no duty of disclosure, duty of loyalty, duty of care, or other duty or obligation of any type or nature whatsoever to Borrower, any other Loan Party, Borrower or any of their respective Equity Interest holders Borrower’s equity holders, Affiliates, officers, employees, attorneys, agents, or any other Person.

No Duty. All attorneys, accountants, appraisers, and other professional Persons and consultants retained by the Administrative Agent Agent, the Collateral Agent, or any Lender shall have the right to act exclusively in the interest of the Administrative Agent, the Collateral Agent and the Lenders and shall have no duty of disclosure, duty of loyalty, duty of care, or other duty or obligation of any type or nature whatsoever to any Borrower, any other Loan Party, any of their respective Equity Interest holders the Parent Borrower’s shareholders or any other Person.

No Duty. All attorneys, accountants, appraisers, and other professional Persons and consultants retained by the Administrative Agent or any Lender shall have the right to act exclusively in the interest of the Administrative Agent and the Lenders and shall have no duty of disclosure, duty of loyalty, duty of care, or other duty or obligation of any type or nature whatsoever to any Borrower, any other Loan Party, any of their respective Equity Interest holders the Parent Borrower’s shareholders or any other Person.

No Duty. All attorneys, accountants, appraisers, and other professional Persons and consultants retained by the Administrative Agent Agent, any Lender, L/C Issuer or any Swing Line Lender shall have the right to act exclusively in the interest of the Administrative Agent and the Lenders or such Lender or Swing Line Lender and shall have no duty of disclosure, duty of loyalty, duty of care, or other duty or obligation of any type or nature whatsoever to Borrower, any other Loan Party, Borrower or any of their respective Equity Interest holders Borrower’s equity holders, Affiliates, officers, employees, attorneys, agents, or any other Person.

No Duty. All attorneys, accountants, appraisers, appraisers and other professional Persons and consultants retained by the Administrative Agent or any Lender and the Lenders shall have the right to act exclusively in the interest of the Administrative Agent and the Lenders and shall have no duty of disclosure, duty of loyalty, duty of care, care or other duty or obligation of any type or nature whatsoever to Borrower, any other Loan Party, Party or any of their respective Equity Interest holders its Affiliates or any other Person.

No Duty. All attorneys, accountants, appraisers, and other professional Persons and consultants retained by the Administrative Agent or any Lender shall have the right to act exclusively in the interest of the Administrative Agent and the Lenders and shall have no duty of disclosure, duty of loyalty, duty of care, or other duty or obligation of any type or nature whatsoever to the Borrower, any other Loan Party, any of their its respective Equity Interest holders or any other Person.

No Duty. All attorneys, accountants, appraisers, appraisers and other professional Persons and consultants retained by the Administrative Agent or any Lender and the Lenders shall have the right to act exclusively in the interest of the Administrative Agent and the Lenders and shall have no duty of disclosure, duty of loyalty, duty of care, care or other duty or obligation of any type or nature whatsoever to Borrower, any other Loan Party, the Borrower or any of their respective Equity Interest holders its Affiliates or any other Person.

No Duty. All attorneys, accountants, appraisers, and other professional Persons and consultants retained by the Administrative Agent or any Lender shall have the right to act exclusively in the interest of the Administrative Agent and the Lenders and shall have no duty of disclosure, duty of loyalty, duty of care, or other duty or obligation of any type or nature whatsoever to WestRock , any Borrower, any other Loan Party, holders of Equity Interests of any of their respective Equity Interest holders Obligor or any other Person.

No Duty. All attorneys, accountants, appraisers, and other professional Persons and consultants retained by the Administrative Agent or Agent, any Lender shall have the right to act exclusively in the interest of the Administrative Agent and the Lenders Agent, such Lender and shall have no duty of disclosure, duty of loyalty, duty of care, or other duty or obligation of any type or nature whatsoever to Borrower, any Borrower or any other Loan Party, Party or any of their respective Equity Interest holders such Borrower’s or such other Loan Party’s equity holders, Affiliates, officers, employees, attorneys, agents, or any other Person.

All attorneys, accountants, appraisers, appraisers and other professional Persons and consultants retained by the Administrative Agent or any Lender and the Lenders shall have the right to act exclusively in the interest of the Administrative Agent and the Lenders and shall have no duty of disclosure, duty of loyalty, duty of care, care or other duty or obligation of any type or nature whatsoever to Borrower, the Borrower or any other Loan Party, of its Subsidiaries or any of their respective Equity Interest holders shareholders or Affiliates or any other Person.

All attorneys, accountants, appraisers, and other professional Persons and consultants retained by the Administrative Agent or any Lender and the Lenders shall have the right to act exclusively in the interest of the Administrative Agent and the Lenders and shall have no duty of disclosure, duty of loyalty, duty of care, or other duty or obligation of any type or nature whatsoever to Borrower, either of the Borrowers or any other Loan Party, Subsidiary of either Borrower or any of their respective Equity Interest holders Affiliates or any other Person.

No Duty. All attorneys, accountants, appraisers, and other professional Persons and consultants retained by the Administrative Agent or any Lender shall have the right to act exclusively in the interest of the Administrative Agent and the Lenders and shall have no duty of disclosure, duty of loyalty, duty of care, or other duty or obligation of any type or nature whatsoever to any Borrower, any other Loan Party, any of their respective Equity Interest holders or any other Person.

No Duty. All attorneys, accountants, appraisers, and other professional Persons and consultants retained by the Administrative Agent or any Lender shall have the right to act exclusively in the interest of the Administrative Agent and the Lenders and shall have no duty of disclosure, duty of loyalty, duty of care, or other duty or obligation of any type or nature whatsoever to theany Borrower, any other Loan Party, any of their respective Equity Interest holders or any other Person.

No Duty. All attorneys, accountants, appraisers, appraisers and other professional Persons and consultants retained by the Administrative Agent or any Lender and the Lenders shall have the right to act exclusively in the interest of the Administrative Agent and the Lenders and shall have no duty of disclosure, duty of loyalty, duty of care, care or other duty or obligation of any type or nature whatsoever to Borrower, SOURCECORP or any other Loan Party, of its Subsidiaries or any of their respective Equity Interest holders shareholders or any other Person.

No Duty. All attorneys, accountants, appraisers, and other professional Persons and consultants retained by the Administrative Agent Agent, the Collateral Agent, or any Lender shall have the right to act exclusively in the interest of the Administrative Agent, the Collateral Agent and the Lenders and shall have no duty of disclosure, duty of loyalty, duty of care, or other duty or obligation of any type or nature whatsoever to any Borrower, any other Loan Party, any of their respective Equity Interest holders the Parent’s shareholders or any other Person.

No Duty. All attorneys, accountants, appraisers, appraisers and other professional Persons and consultants retained by the Administrative Agent or any Lender and the Lenders shall have the right to act exclusively in the interest of the Administrative Agent and the Lenders and shall have no duty of disclosure, duty of loyalty, duty of care, care or other duty or obligation of any type or nature whatsoever to Borrower, any other Loan Party, the Borrowers or any of their respective Equity Interest holders Affiliates or any other Person.. All attorneys, accountants, appraisers, appraisers and other professional Persons and consultants retained by the Administrative Agent or any Lender shall have the right to act exclusively in the interest of the Administrative Agent and the Lenders or such Lender and shall have no duty of disclosure, duty of loyalty, duty of care, care or other duty or obligation of any type or nature whatsoever to Borrower, any other Loan Party, Borrower or any of their respective Equity Interest holders Borrower’s equity holders, Affiliates, officers, employees, attorneys, agents or any other Person.

No Duty. All attorneys, accountants, appraisers, and other professional Persons and consultants retained by the Administrative Agent Agent, the Collateral Agent, or any Lender shall have the right to act exclusively in the interest of the Administrative Agent, the Collateral Agent and the Lenders and shall have no duty of disclosure, duty of loyalty, duty of care, or other duty or obligation of any type or nature whatsoever to any Borrower, any other Loan Party, any of their respective Equity Interest holders the Parent Borrower’s shareholders or any other Person.. All attorneys, accountants, appraisers, appraisers and other professional Persons and consultants retained by the Agent, the Documentation Agent, the Administrative Agent or any Lender and the Lenders shall have the right to act exclusively in the interest of the Agent, the Documentation Agent, the Administrative Agent and the Lenders and shall have no duty of disclosure, duty of loyalty, duty of care, care or other duty or obligation of any type or nature whatsoever to Borrower, any other Loan Party, the Borrower or any of their respective Equity Interest holders the Borrower's shareholders or any other PersonPerson other than the Agent, the Documentation Agent, the Administrative Agent and the Lenders.

No Duty. All attorneys, accountants, appraisers, and other professional Persons and consultants retained by the Administrative Agent or any Lender shall have the right to act exclusively in the interest of the Administrative Agent and the Lenders or such Lender and shall have no duty of disclosure, duty of loyalty, duty of care, or other duty or obligation of any type or nature whatsoever to Borrower, any other Loan Party, any of their respective Equity Interest holders Grantor’s shareholders or any other Person.

No Duty. All attorneys, accountants, appraisers, and other professional Persons and consultants retained by the Administrative either Agent or any Lender its Affiliates shall have the right to act exclusively in the interest of the Administrative such Agent and the Lenders and shall have no duty of disclosure, duty of loyalty, duty of care, or other duty or obligation of any type or nature whatsoever to Borrower, any other Loan Party, Borrower or any of their respective Borrower’s Equity Interest holders holders, Affiliates, officers, employees, attorneys, agents, or any other Person.

No Duty. All attorneys, accountants, appraisers, and other professional Persons and consultants retained by the Administrative Agent Agent, the Lead Arranger or any Lender shall have the right to act exclusively in the interest of the Administrative Agent Agent, the Lead Arranger and the Lenders and shall have no duty of disclosure, duty of loyalty, duty of care, or other duty or obligation of any type or nature whatsoever to Borrower, any other Loan Party, any shareholders of their respective Equity Interest holders any Loan Party, or any other Person.

No Duty. All attorneys, accountants, appraisers, and other professional Persons and consultants retained by the Administrative Agent or any Lender shall have the right to act exclusively in the interest of the Administrative Agent and the Lenders or such Lender and shall have no duty of disclosure, duty of loyalty, duty of care, or other duty or obligation of any type or nature whatsoever to Borrower, any other Loan Party, Borrower or any of their respective Equity Interest holders Borrowers’ equity holders, Affiliates, officers, employees, attorneys, agents, or any other Person.

No Duty. All attorneys, accountants, appraisers, appraisers and other professional Persons and consultants retained by the Administrative Agent or any Lender and the Lenders shall have the right to act exclusively in the interest of the Administrative Agent and the Lenders and shall have no duty of disclosure, duty of loyalty, duty of care, care or other duty or obligation of any type or nature whatsoever to Borrower, F.Y.I. or any other Loan Party, of its Subsidiaries or any of their respective Equity Interest holders shareholders or any other Person.

No Duty. All attorneys, accountants, appraisers, consultants and other professional Persons and consultants retained by the Administrative Agent or any Lender shall have the right to act exclusively in the interest interests of the Administrative Agent and the Lenders or such Lender, respectively, and shall have no duty of disclosure, duty of loyalty, duty of care, care or other duty or obligation of any type or nature whatsoever to Borrower, any Operating Subsidiary or any other Loan Party, any of their respective Equity Interest holders Consolidated Subsidiary or its stockholders or any other Person.

No Duty. All attorneys, accountants, appraisers, and other professional Persons and consultants retained by the Administrative Agent except for gross negligence, willful misconduct or any Lender fraud, shall have the right to act exclusively in the interest of the Administrative Agent and the Lenders person who hired them and shall have no duty of disclosure, duty of loyalty, duty of care, or other duty or obligation of any type or nature whatsoever to Borrower, any other Loan Party, any of their respective Equity Interest holders or any other Person.

No Duty. All attorneys, accountants, appraisers, and other professional Persons and consultants retained by the Administrative Agent or any Lender shall have the right to act exclusively in the interest of the Administrative Agent and the Lenders and shall have no duty of disclosure, duty of loyalty, duty of care, or other duty or obligation of any type or nature whatsoever to Parent, any Borrower, any other Loan Party, holders of Equity Interests of any of their respective Equity Interest holders Obligor or any other Person.

No Duty. All attorneys, accountants, appraisers, and other professional Persons and consultants retained by the Administrative Agent Agent, or any Lender shall have the right to act exclusively in the interest of the Administrative Agent and the Lenders or such Lender and shall have no duty of disclosure, duty of loyalty, duty of care, or other duty or obligation of any type or nature whatsoever to Borrower, any other Loan Party or any Loan Party’s equity holders, any of their respective Equity Interest holders Affiliates, officers, employees, attorneys, agents, or any other Person.

No Duty. All attorneys, accountants, appraisers, consultants and other professional Persons and consultants persons (including the firms or other entities on behalf of which any such Person may act) retained by the Administrative Agent or any Lender with respect to the transactions contemplated by the Loan Documents shall have the right to act exclusively in the interest of the Administrative Agent and the Lenders and shall have no duty of disclosure, duty of loyalty, duty of care, or other duty or obligation of any type or nature whatsoever to Borrower, any other Loan Party, any of their respective Equity Interest holders or any other Person.such

All attorneys, accountants, appraisers, and other professional Persons and consultants retained by any of the Administrative Agent Agents, the Issuing Lenders or any Lender the Lenders shall have the right to act exclusively in the interest of the Administrative Agent and the Lenders such Persons and shall have no duty of disclosure, duty of loyalty, duty of care, or other duty or obligation of any type or nature whatsoever to either Borrower or any Borrower, any other Loan Party, any of their respective Equity Interest holders ’s shareholders or any other Person.

No Duty. All attorneys, accountants, appraisers, and other professional Persons and consultants retained by the Administrative Agent or any Lender shall have the right to act exclusively in the interest of the Administrative Agent and the Lenders and shall have no duty of disclosure, duty of loyalty, duty of care, or other duty or obligation of any type or nature whatsoever to Holdings, Borrower, any other Loan Party, any of their respective Equity Interest holders the Holdings’ shareholders or any other Person.

No Duty. All attorneys, accountants, appraisers, and other professional Persons and consultants retained by the Administrative Agent or any Lender shall have the right to act exclusively in the interest of the Administrative Agent and the Lenders and shall have no duty of disclosure, duty of loyalty, duty of care, or other duty or obligation of any type or nature 129 whatsoever to any Borrower, any other Loan Party, any of their respective Equity Interest holders or any other Person.

No Duty. All attorneys, accountants, appraisers, appraisers and other professional Persons and consultants retained by the Administrative Agent or any Lender and the Lenders shall have the right to act exclusively in the interest of the Administrative Agent and the Lenders and shall have no duty of disclosure, duty of loyalty, duty of care, care or other duty or obligation of any type or nature whatsoever to Borrower, any other Loan Party, the Borrowers or any of their respective Equity Interest holders Affiliates or any other Person.
