No Disputes. There is no pending audit, examination, investigation, dispute, proceeding or claim with respect to any Taxes of the Acquiror, nor is any such claim or dispute pending or contemplated. The Acquiror has delivered to the Acquiree true, correct and complete copies of all Tax Returns and examination reports and statements of deficiencies assessed or asserted against or agreed to by the Acquiror, if any, since its inception and any and all correspondence with respect to the foregoing.
No Disputes. The written confirmation of the Borrower that there is no dispute under any of the Relevant Documents as between the parties to any such document.

The Acquiror Company has delivered to Orient Come, Orient Come’s Shareholders and K’s Media true, correct and complete copies of all Tax Returns and examination reports and statements of deficiencies assessed or asserted against or agreed to by the Acquiror Company, if any, for each of the last two years and any and all correspondence with respect to the foregoing. There is no pending audit, examination, investigation, dispute, proceeding or claim with respect to any Taxes of the Acquiror Company, nor is any such claim or dispute pending or contemplated. The Acquiror Company has not receive notice of any such audit, examination, investigation, dispute, proceeding or claim with respect to any Taxes with respect to any periods prior to January 1, 2005.

The Acquiror Company has delivered to the Company true, correct and complete copies of all Tax Returns and examination reports and statements of deficiencies assessed or asserted against or agreed to by the Acquiror Company, if any, for each of the last two (2) years and any and all correspondence with respect to the foregoing. There is no pending audit, examination, investigation, dispute, proceeding or claim with respect to any Taxes of the Acquiror Company, nor is any such claim or dispute pending or contemplated. The Acquiror Company has not received notice of any such audit, examination, investigation, dispute, proceeding or claim with respect to any Taxes with respect to any periods.
No Disputes. The Company is not currently engaged in any dispute with any Governmental Agency in respect of any Tax or Duty and is not aware of any circumstances that may give rise to such a dispute.
No Disputes. There are no contracts or material disputes between the Seller and any third party with respect to the Assigned Patents, Retained Patent and Know-How under which there is any material dispute regarding the scope of the contract or regarding performance under the contract.
No Disputes. The written confirmation of the Sellers that to the best of its knowledge there is no dispute under any of the Building Contract or Refund Guarantee as between the parties to any such document.
