No Carry-Over. The Commitment Value must be achieved within the Contract Term. The Commitment Value cannot be carried over after the Contract Term has expired. The Commitment Value cannot be transferred to another SAP Training and Adoption PlusPackage arrangement.
No Carry-Over. As of December 31 of any Agency Period, if SINA Agent fails to actually use all Internal Advertising Inventory and Content Promotion Location provided by SINA pursuant Section 4.01 and Section 4.02 of this Agreement in such Agency Period, such unused parts will be reset automatically on 24:00 of such 31st of December and shall not be carried over to the next Agency Period by any means.
No Carry-Over. Vacations must be taken during the calendar vacation year. Vacation entitlement cannot be banked or carried over from year to year.
No Carry-Over. Each employee shall be required to take the full annual vacation period that he is entitled to under the provisions of this Agreement in the current year.
No Carry-Over. Notwithstanding anything to the contrary in this Agreement, Microsoft shall not be entitled under this Section 7 to receive for any Contract Year any amount in excess of its Revenue Share Service Fee for such Contract Year. If the Revenue Share Service Fee for a Contract Year is less than the amount of the Advances for such Contract Year, then such shortfall for the applicable Contract Year will be nonrefundable and ineligible for recoupment in following Contract Years.
No Carry-Over. To the extent that the entire value of any **** Support available in any Year of the Term is not used in such Year, any such unused **** Support will be forfeited, and MasterCard will have no obligation to make any rebate or other consideration to BAC for the unused amount of **** Support, provided, however, that in the event a reasonable person would determine in good faith that MasterCard has failed to act reasonably expeditiously in assisting BAC to utilize such budget(s) during any Year, then the unused portion of such budgets for that Year shall roll into and be added to the budgets for the following Year.
No Carry-Over. Use of Additional Support shall be determined by **** of the **** Year. To the extent that any of the Additional Support set forth in Annex F is not spent in the **** Year, any such unused Additional Support will be forfeited, and MasterCard will have no obligation to make any rebate or other consideration to BAC for the unused amount of Additional Support, provided, however, that in the event a reasonable person would determine in good faith that MasterCard has failed to act reasonably expeditiously in assisting BAC to utilize such budget(s) during such Year, then the unused portion of such budgets for that Year shall roll into the following Year. Notwithstanding the above, in the event BAC is unable to utilize the Additional Support in ****, MasterCard will make a good faith effort, where appropriate, to preserve such Additional Support for BAC use in ****, the preservation of Additional Support to be determined by MasterCard in its sole discretion.
No Carry-Over. Employees are not entitled to carry over employee leave to the new school year and are paid out for one- half of any remaining employee leave up to a maximum of six (6) days.
No Carry-Over. Service Visits not scheduled during an applicable service period expire and cannot be carried forward to future service periods. You will not receive any credit or refund if you fail to book a Service Visit during an applicable service period.
No Carry-Over. To the extent that MBNA fails to use the entire value of the two **** budgets available to MBNA, as described above, in any Year of the Term, any such unused **** budget amount(s) will be forfeited and MasterCard will have no obligation to make any rebate or other consideration to MBNA for the unused amount of **** budget; provided however, that in the event MBNA determines in good faith that MasterCard has failed to act reasonably expeditiously in assisting MBNA to utilize such budget(s) during any Year, then the unused portion of such budgets for that Year shall roll into and be added to the budgets for the following Year. The value of **** services will be determined in accordance with MasterCard’s standard methodology for determining **** valuation in effect from time to time and MasterCard’s determination of value will be final and binding on the parties, absent material error or failure to adhere to such methodology.
