No Brokerage Commission. No broker or finder has acted for the ------------------------- Seller in connection with this Agreement or the transactions contemplated hereby, and no person is entitled to any brokerage or finder's fee or compensation in respect thereof based in any way on agreements, arrangements or understandings made by or on behalf of the Seller.
No Brokerage Commission. As part of the consideration for the granting of this Lease, the Tenant represents and warrants to the Landlord that no broker or agent (other than any broker or agent authorized in writing by the Landlord) negotiated or was instrumental in negotiating or consummating this Lease. Notwithstanding the foregoing, any broker or agent of the Tenant shall be paid by the Tenant to the exoneration of the Landlord.

Buyer has not employed any broker, agent or finder in connection with any transaction contemplated by this Agreement and hereby indemnifies Seller against any liability for a brokerage commission or finders fee or any description incurred by Buyer with respect to any transaction contemplated by this Agreement.

Other than with respect to the services of LandVest, Inc., each of Forestar Petroleum and Forestar (USA) warrants and represents to Purchaser that it has not incurred any liability for any brokerage fee or commission in connection with the execution and delivery of this Agreement or the consummation of the transactions contemplated hereby, and the payment of LandVest, Inc. shall be the sole obligation of Forestar Petroleum and Forestar (USA). Purchaser warrants and represents to each Seller that Purchaser has not incurred any liability for any brokerage fee or commission in connection with the execution and delivery of this Agreement or the consummation of the transactions contemplated hereby. Each Seller and Purchaser each agree to indemnify and hold harmless the others from any and all damage, loss, liability, expense and claim (including but not limited to attorneys’ fees and court costs) arising with respect to any such fee or commission which may be suffered by the indemnified Party by reason of any action or agreement of the indemnifying Party. This Section 12 shall survive the termination, cancellation or expiration of this Agreement.

Each party hereto shall indemnify and hold harmless the other against and in respect of any claims for brokerage and other commissions relative to this Agreement or to the transactions contemplated hereby that are based in any way on any such agreements, arrangements or understandings, claimed to have been made by such party with any third party.

Other than with respect to the services of Xxxxxxx Xxxxx Xxxxxx, Xxxxxx & Xxxxx Incorporated and Xxxxxxx Sachs & Co., Seller warrants and represents to Purchaser that Seller has not incurred any liability for any brokerage fee or commission in connection with the execution and delivery of this Agreement or the consummation of the Transactions, and the payment of Xxxxxxx Xxxxx Xxxxxx, Xxxxxx & Xxxxx Incorporated and Xxxxxxx Sachs & Co., shall be the sole obligation of Seller. Purchaser warrants and represents to Seller that Purchaser has not incurred any liability for any brokerage fee or commission in connection with the execution and delivery of this Agreement or the consummation of the Transactions. Seller and Purchaser each agree to indemnify and hold harmless the other from any and all damage, loss, liability, expense and claim (including reasonable attorneys’ fees and court costs) arising with respect to any such fee or commission which may be suffered by the indemnified Party by reason of any action or agreement of the indemnifying Party. This Section 16 shall survive the termination, cancellation or expiration of this Agreement.
No Brokerage Commission. Seller has not entered into any agreement with any person, firm, or corporation or become indirectly a party to any agreement for the payment of any commission, brokerage, or finder's fee in connection with this Agreement.

Neither Borrower nor any Guarantor has, in connection with this Facility, entered into any agreement, incurred any obligation, made any commitment or taken any action which might result in a claim for or an obligation to pay a brokerage commission, finder’s fee or similar fee in respect to the transactions described in this Agreement, and Borrower shall indemnify Lender against all loss, expense, demand and liability (including attorneys fees) arising in connection with any such claim or obligation.
