No Assignment or Sublicense. Member may not sell, lease, license, distribute or grant any interest in the Office Space or any of the Services to any third party. Further, Member may not assign this Agreement in whole or in part, or otherwise transfer, sublicense or otherwise delegate any of Member’s rights or obligations under this Agreement, to any third party.

Any transfer or delegation of any of Licensee's rights in violation of the preceding sentences shall be null and void. Any or all of YAMAHA's rights may be transferred or delegated by YAMAHA without restriction of any kind. Subject to the foregoing, this Agreement shall be binding upon and inure to the benefit of the parties, their successors and assigns.
No Assignment or Sublicense. Licensee may sublicense any of its rights under this Agreement to any entity who is an Affiliate of Licensee without the prior written approval of the Licensor. Licensee shall not assign, transfer or sublicense any of its rights under this Agreement to any other person or entity who is not an Affiliate of Licensee without the prior written approval of the Licensor, not to be unreasonably withheld or delayed. Any attempted assignment, transfer or sublicense entered into in breach of this clause without the prior approval of the Licensor shall be null and void. The Licensor approves:
