This Agreement is not intendedNothing contained in this Agreement, and shall not nor in the relationship created hereby, should be construed, interpreted to create any association, evidence a joint venture, agency partnership, or principal/agent relationship or partnership as between the Parties parties. Neither party shall have any right or authority to act for, or to impose assume, create or incur any such obligation or liability upon either Party. Neither Party shall have of any rightkind, power whether expressed or authority to enter into any agreement or undertaking forimplied, or act as or be an agent or representative against, in the name of, or otherwise bindon behalf of, the other Partyparty. Each party shall be fully independent in its business operations.

No Agency.
