No agency etc. Nothing in this Agreement creates, implies or evidences any partnership or joint venture between the Parties, or the relationship between them of principal and agent. None of the Parties has any authority to make any representation or commitment, or incur any liability, on behalf of any other.

It is expressly understood and agreed that the Distributor and the Manufacturer shall at all times by independent contractors. Except as specifically contemplated herein, the Distributor and the Manufacturer shall not act, or attempt to act, directly or by implication, as an agent of the other or in any manner assume or create, or attempt to assume or create, any obligation on behalf of, or in the name of the other.
