No Action Required. In the event that any of the notices and/or Shares or other documents or instruments to be delivered pursuant to the terms hereof are not delivered to the Security Agent, Security Agent shall have no duty whatsoever to take any action with respect to procurement of the same. The Security Agent shall have no obligation or responsibility to verify that any Shares or other documents or instruments delivered hereunder are the documents required to be delivered by the respective party.
