The NGE (No Greater Entitlement) clause limits a party’s rights or benefits under a contract to only those expressly stated within the agreement. In practice, this means that if a party seeks compensation, remedies, or entitlements, they cannot claim more than what is specifically provided for in the contract, regardless of any external circumstances or expectations. 3. The following Subsections 1 (y) and (z) shall be added to the Agreement:
NGE. (A) has sufficient knowledge and experience in business and financial matters and is capable of evaluating the merits and risks of an investment in the Securities; and (B) qualifies as an "accredited investor" (as the term is defined under Regulation D promulgated under the Securities Act).
