NEW STORE OPENINGS a. In addition to the special services outlined in Exhibit A for new openings, all opening order invoices will be incorporated into a side note with 13 equal weekly payments, starting the first week after the final opening order shipment.

NEW STORE OPENINGS. Effective October 1, 1998 and for the balance of the Fiscal Year ending February 27, 1999, or any Fiscal Year thereafter, the Borrowers may only enter into new commitments to open, or in connection with opening, more than 10 new stores if daily average unused Availability for the 30 consecutive day period immediately prior to entering into any such commitment exceeds $5,000,000; provided, however, that (i) a store relocated to a new location shall not be treated as a new store for purposes hereof and (ii) amounts not yet spent under commitments relating to new stores subject to this Section 10.26, shall be deducted in determining compliance with this Section 10.26.
NEW STORE OPENINGS. The Borrower shall not make any New Store Opening after the Closing Date unless:
NEW STORE OPENINGS. No Credit Party shall open any new store locations; PROVIDED, that, (a) Borrowers shall be permitted to open the four new store locations set forth in DISCLOSURE SCHEDULE (6.19) during the Fiscal Year ending December 30, 2000, and (b) a Credit Party may open a new store location so long as (i) no Default or Event of Default shall have occurred and be continuing or would result after giving effect to any payments in connections with such store opening, and (ii) with respect to any payments to be made in connection with such store opening, Borrowers collectively shall have Net Borrowing Availability of not less than the lesser of (A) $2,500,000 and (B) 10% of Borrowing Availability after giving effect (including PRO FORMA effect during the period prior to such store opening) to any such payments at all times during the period from the date that is 90 days prior to the earlier of the date on which such Credit Party makes the initial payment or incurs the initial obligations in connection with any such store opening and, based on Net Borrowing Availability projections prepared by Borrowers and delivered to Agent and Lenders, which Projections shall be in form and substance acceptable to Agent, through and including the date that is 90 days after such store opening. Prior to making any payment under CLAUSE (b) of this SECTION 6.19, Borrowers shall deliver a certificate to Agent certifying that the conditions set forth in such clause have been satisfied, which certificate shall be in form and substance satisfactory to Agent.

NEW STORE OPENINGS. For each new Store opened by Dealer after the Effective Date of this Agreement, Simmons will, within 10 days from the date of the Store opening (a) pay Dealer [*] in the form of a merchandise credit memorandum; (b) provide Dealer with floor sample discounts as described in Paragraph 5 above; and (c) provide Dealer with [*] for mutually approved point of purchase materials, which may include Simmons’ neon signs, pillow shams, and sign holders.

NEW STORE OPENINGS. An employee who is engaged on a Temporary weekly contract under clause 9(f), may, in the event of a new store opening only, have that temporary weekly contract extended on one occasion. The original temporary weekly contract and the extension of the temporary weekly contract must not exceed a combined total of 12 weeks duration.
