Licensee shall provide Licensor with an application (\u201cNew Project Application\u201d) in the form attached hereto as Exhibit K for each proposed New Project. The form of New Project Application may be modified by Licensor as required for compliance with Applicable Law or as mutually agreed by the parties hereto.\nB. Licensor may reject a proposed New Project only if:\n(i) Licensor determines that the proposed New Project does not meet the applicable Brand Standards related to construction and design or that the location of the proposed New Project does not meet applicable Brand Standards or is otherwise not appropriate for the proposed New Project;\n(ii) Licensor determines that the development of the proposed New Project would breach, or be reasonably likely to breach, any Permitted Territorial Restrictions or restrictions imposed by Applicable Law on Licensor and its Affiliates; or\n(iii) the proposed New Project will involve a co-investor with Licensee and such co-investor is (a) a Lodging Competitor of Licensor, (b) is known in the community as being of bad moral character, (c) has been convicted in any court of a felony or other offense that could result in imprisonment for one (1) year or more or a fine or penalty of one million dollars ($1,000,000) (as adjusted annually after the Effective Date by the GDP Deflator) or more (or is in control of or controlled by Persons who have been convicted in any court of felonies or such offenses), or (d) is, or has an Affiliate that is, a Specially Designated National or Blocked Person. If Licensor does not approve the proposed New Project under Sections 5.2.B(i), (ii), or (iii) above and Licensee disagrees with such determination, then Licensee may refer the matter for Expert resolution pursuant to Section 22.5. The Expert shall make its determination based upon whether Licensor\u2019s rejection was reasonable, given the market positioning and Brand Standards applicable to the proposed New Project. Additionally, if Licensor did not approve the proposed New Project based on its determination that the location of the proposed New Project did not meet applicable Brand Standards or was otherwise not appropriate for the proposed New Project, the Expert shall determine whether the proposed location would be appropriate for Licensor Lodging Facilities in the Upscale Brand Segment or Upper-Upscale Brand Segment, as applicable, based on the market positioning and brand standards applicable to such Licensor Lodging Facilities, and if the Expert determines that the proposed location would be so appropriate, then the proposed location shall be deemed appropriate for the proposed New Project.\nC. Each New Project may operate only under the applicable Project name agreed to by the parties in accordance with the naming protocol set forth in the Brand Standards, which Project name may be changed only in accordance with the naming protocol set forth in the Brand Standards.\n(1) In the event that Licensee delegates the authority to develop a New Project to an Affiliate, Licensee shall sublicense to such Affiliate the right to develop such New Project under the form of sublicense agreement attached as Exhibit E, under which such Affiliate will be required to develop the New Project in accordance with the sublicense agreement and the terms and conditions of this Agreement, and such Affiliate will agree to be bound by the same responsibilities, limitations, and duties of Licensee under this Agreement with respect to such New Project.\n(2) In the event that Licensee delegates the authority to operate a New Project to an Affiliate, Licensee shall sublicense to such Affiliate the right to operate such New Project under the form of sublicense agreement attached as Exhibit E, under which such Affiliate will be required to operate the New Project in accordance with the sublicense agreement and the terms and conditions of this Agreement, and such Affiliate will agree to be bound by the same responsibilities, limitations, and duties of Licensee under this Agreement with respect to such New Project.\n(3) Licensee shall provide Licensor with a fully-executed copy of each sublicense agreement entered into hereunder promptly following its execution and will notify Licensor in writing upon the termination or expiration of any sublicense agreement. Except to the extent required by Applicable Law, Licensee shall not amend or otherwise modify any such sublicense agreement without Licensor\u2019s prior written approval.\nE. If the offer or execution of the sublicense agreement for any Existing Project or proposed New Project (including any New Project that is to be developed through a third party) results in a requirement for Licensee to comply with regulatory requirements, including, without limitation, the preparation and provision to the Project developer of a disclosure document or filing of the disclosure document or other documents with regulatory authorities, Licensee shall comply with such regulatory requirements at its sole cost and expense and provide Licensor with evidence satisfactory to Licensor of Licensee\u2019s compliance therewith within the timeframe required by the applicable regulations. If Licensor determines that Licensor is required to comply with such regulatory requirements in connection with any Existing Project or proposed New Project, Licensee will fully cooperate with Licensor with respect to Licensor\u2019s compliance requirements, and Licensor will not charge Licensee any amounts for costs incurred by Licensor in connection with Licensor\u2019s compliance requirements.\nF. All New Projects that are added to Licensed Non-Site Specific Destination Club Programs must initially be operated under the Licensed Marks in accordance with the System and this Agreement, it being acknowledged that such New Projects are subject to being Deflagged in accordance with the terms of this Agreement. At Licensor\u2019s request, Licensee\u2019s rights to include a Non-Site Specific Destination Club Ownership Vehicle as part of a Licensed Non-Site Specific Destination Club Program shall be discontinued if at any time the aggregate interests in Licensed Destination Club Units that are held by such Non-Site Specific Destination Club Ownership Vehicle is less than one-half (1/2) of the aggregate interests in all Destination Club Units that are held by such Non-Site Specific Destination Club Ownership Vehicle.\nG. financial year the relevant Approved New Project is projected in the relevant Real Estate Package to become a Stabilised Project, determined by reference to the annual Net Rental Income for such Approved New Property as projected in the relevant Real Estate Package divided by the aggregate Budgeted Costs for that Project; and\n(iv) on or prior to the first drawdown in respect of such construction and development project the Agent has confirmed to the Borrower and the other Finance Parties that it has received, or it is satisfied that it will receive upon such drawdown, all items relating to:\n(1) the relevant freehold, leasehold or other real property specified in Schedule 6 (Approved New Properties) as specified (as if that property were an Initial Property) in paragraphs 1, For so long as Seller is employed by the Company and/or any of its Subsidiaries, Seller will have the right (to be exercised within ninety (90) days of the applicable board approval of a New Project) to invest 10% (or more than 10% if approved by Buyer) of the aggregate cost of one or more of any of the New Projects in exchange for a 10% equity ownership interest (subject to adjustment for any future equity interest issuances of such New Project) in such New Project(s) (for each New Project for which Seller has exercised his investment right, a \u201cCapital Interest\u201d). With respect to each New Project in which Seller has acquired a Capital Interest, Seller shall be granted an additional interest, which when combined with such Capital Interest, will entitle him to (i) a return of his invested capital and (ii) 20% (subject to adjustment for any future equity interest issuances of such New Project) of the distributions and equity value of such New Project in excess of the amount of invested capital in such New Project and after establishing reserves (made in accordance with GAAP) for all expenses and liabilities of such New Project (for each New Project for which Seller holds a Capital Interest, a \u201cProfits Interest\u201d, together with the Capital Interest for such New Project, the \u201cNew Projects Interest\u201d). The Capital Interest, if any, will be issued to Seller in the same strip of securities as are directly or indirectly issued to Buyer and on the same economic terms as such securities that are directly or indirectly issued to Buyer. Each New Project Interest will be documented in the organizational documents (for each New Project Entity, the \u201cNew Project Entity Organizational Documents\u201d) of a new entity (for each New Project, the \u201cNew Projects Entity\u201d) formed to own such New Project. Seller will acquire the New Project Interest pursuant to a purchase agreement customary for transactions of a similar nature, which purchase agreement shall include customary representations and warranties of Seller for such a transaction. Seller will also be party to such other ancillary documents of the New Project Entities as reasonably determined by Buyer at the time of formation of such New Project Entities.\n(b) The New Project Entity Organizational Documents of each New Project Entity shall (i) grant Seller pre-emptive rights (subject to customary carve-outs) with respect to future equity issuances by such New Project Entity to maintain the proportionate ownership interest represented by Seller\u2019s initial Capital Interest in such New Project Entity, (ii) grant Seller customary tag-along rights with respect to future sales of equity interests in such New Project Entities by Buyer and (iii) provide that the New Projects Interest is not transferable by Seller without Buyer\u2019s consent (other than for estate planning purposes).\n(c) Buyer shall have an option (the \u201cNew Projects Option\u201d) to buy all of the New Projects Interest and any additional equity interests in the New Projects Owned directly or indirectly by Seller (collectively, the \u201cNew Projects Aggregate Interest\u201d) from Seller for the New Projects Purchase Price at any time within the 90 day period following the three (3) year anniversary of the Closing Date, by presentation to Seller of written notice advising Seller of its election to exercise the New Projects Option (the \u201cNew Projects Option Exercise Notice\u201d). Within thirty (30) days after the delivery of the New Projects Option Exercise Notice, Buyer and Seller shall work together in good faith to agree upon the calculation of the New Projects Purchase Price. Within fifteen (15) days (or such later date as mutually agreed by Buyer and Seller) after the final determination of the New Projects Purchase Price (as mutually determined by Buyer and Seller or by the Accountant Arbitrator in accordance with Section 2.4(e)) Buyer and Seller shall execute a purchase agreement customary for transactions of a similar nature to formalize the purchase and sale of the New Projects Aggregate Interest, which shall include certain representations and warranties of Seller. In the event that Buyer and Seller cannot agree on the form of purchase agreement, the matter shall be submitted to Accountant Arbitrator in accordance with Section 2.4(f). Seller agrees that Buyer may, in its sole discretion, exercise the New Projects Option indirectly by causing the applicable owner of the New Project Entity Affiliated with Buyer to acquire the New Projects Interest related to the New Project owned by such Person.\n(d) Seller shall have the right to sell the New Projects Aggregate Interest to Buyer (the \u201cNew Projects Put Right\u201d) for an amount (the \u201cNew Project Put Price\u201d) equal to the New Projects Purchase Price (calculated using the methodology set forth above, except that that the Enterprise Value will be calculated as if the New Projects Valuation Date were the last day of the month immediately preceding the month the New Projects Put Right is exercised); provided, that, the New Projects Put Price shall be payable (without interest) in equal installments over a three year period; provided, further, that at Buyer\u2019s election (which shall be made in its sole discretion), Buyer may cause one or more of Affiliates to fund the New Projects Purchase Price on its behalf; provided, further, that the Buyer shall not be required to make any such payments for up to a two (2) year period if such payments would result in (x) a violation of any Law, or (y) a violation of the terms governing Buyer or any of its Affiliates set forth in any of their respective credit facilities (each of clauses (x) and (y), a \u201cPayment Restriction\u201d). If such a Payment Restriction exists, Buyer shall use its commercially reasonable efforts to cause the third party to whom the obligation is owed giving rise to such Payment Restriction to waive such Payment Restriction so that such payment may be made or, if no third party is involved in such restriction, to otherwise eliminate such Payment Restriction; provided, that Buyer shall not have any obligation to make a payment to any party or to modify any agreement, contract or other arrangement in a manner that is adverse to such Person or any of its Affiliates in order to eliminate such restriction; provided, that, upon the waiver or elimination of all Payment Restrictions, Buyer shall promptly pay the New Projects Price to Seller in equal installments as set forth above.
