New Product Introduction. 19.1 From time to time during the term of this Agreement, Humana may develop or implement new products. Should Humana offer participation in any such new product to IPA, IPA shall be provided with sixty (60) days’ written notice prior to the implementation of such new product. If IPA does not object in writing to its participation in such new product within such sixty (60) day notice period, IPA shall be deemed to have accepted participation in the new product. In the event IPA objects to its participation in a new product, the parties shall confer in good faith to reach agreement on the terms of IPA’s participation. If agreement on such new product cannot be reached, such new product shall not apply to this Agreement. Humana may in its discretion, establish, develop, manage and market provider networks in which IPA may not be selected to participate.

New Product Introduction. 18.1 From time to time during the term of this Agreement, ChoiceCare and/or Payors may develop or implement new products. Should ChoiceCare and/or Payor elect to offer any such new products to Group, Group shall be provided with ninety (90) days written notice from ChoiceCare prior to the implementation of such new product. If Group does not object in writing to the implementation of such new product within such ninety (90) day notice period, Group shall be deemed to have accepted participation in the new product. In the event Group objects to any such new product, the parties shall confer in good faith to reach agreement on terms of Group’s participation. If agreement cannot be reached, such new product shall not apply to this Agreement.
New Product Introduction. Customer may request priority support for validation of a new Product on an existing Production Line or at Novati’s sole option, for Prototype Product or Engineering Sample Product. Customer acknowledges that this support shall be subject to non-reoccurring engineering charges and expedite fees as defined in this Agreement.

Maintenance Releases are expressly excluded from the NPI process. The NPI process for Products shall be comprised of the "System Test", "First Office Application", and "Limited Introduction" phases. A Unisphere Product shall have successfully completed the NPI process when it attains "General Availability" status. * The parties shall cooperate for the purposes of planning the NPI process as it relates to Product evaluation and post sales and service support. * Unisphere shall involve Siemens in its internal NPI process. Such involvement may, upon agreement of the parties, include participation in internal research and development testing. * Unless otherwise agreed, Siemens shall be given access to new Unisphere Products at the In-Service Trial or First Office Application phase (as applicable), no later than when they are released to Unisphere's own internal support organizations. The In-Service Trial or First Office Application Versions of the Products (as applicable) may be used by Siemens for internal evaluation purposes only, except with the express prior written consent of Unisphere, such consent to be determined on a case by case basis. * Unisphere shall distribute In-Service Trial or First Office Application Versions of the Products (as applicable) only to Siemens' TAC organizations. Siemens shall designate a single point of contact for reporting problems discovered by Siemens during the NPI process. * During the NPI, Problem Resolution shall be subject to the process, but not the timeframes, set out in this Annex. The timeframes for Problem Resolution during the NPI process shall be agreed by the Parties.

New Product Introduction. Company, in consultation with Distributor, will develop comprehensive product introduction programs addressing the issues of: (i) documentation of procedures, processes, marketing and product specifications; (ii) installation, support and criteria; (iii) training, certification and transition responsibility; (iv) strategic location of demonstration units and trade show demonstrations; (v) process and process support requirements of Distributor; (vi) identification of strategic accounts; (vii) beta site support criteria; (viii) Spare Parts issues; and (ix) recommended Spare Parts.

New Product Introduction. BUYER may from time to time issue Purchase Orders for advance, low-volume units of Products for testing of the Products and/or the manufacturing process (“NPI Units”). All NPI Units will be manufactured in the Approved Manufacturing and Product Development Location. Any additional terms regarding the manufacture and delivery of NPI Units shall be mutually agreed upon by the parties in a Statement of Work, which shall include, without limitation, pricing, manufacturing milestones and milestone schedule, testing procedures and quality assurance provisions. Such Statement of Work will be attached hereto as a sequentially numbered attachment (“Attachment”) to Exhibit D, and shall be deemed incorporated herein. [***].
