New Kleinco Guarantee. New Kleinco hereby unconditionally and irrevocably, as a primary obligor and not only a surety, guarantees to Buyer and the other Buyer Indemnified Persons, and their respective successors, transferees and permitted assigns, the prompt and complete payment and performance by TKK and TMK when due of their indemnification obligations under Section 8.1 (the “▇▇▇▇▇ Guaranteed Obligations”). This guarantee shall remain in full force and effect until all of the ▇▇▇▇▇ Guaranteed Obligations shall have been paid in full. New Kleinco waives (i) any and all notice of the creation, renewal, extension or accrual of any of the ▇▇▇▇▇ Guaranteed Obligations and (ii) diligence, presentment, protest, demand for payment and notice of default or nonpayment to or upon TKK or TMK with respect to the ▇▇▇▇▇ Guaranteed Obligations.
