New General Partner. General Partner appointed hereunder shall sign a counterpart hereof and thereupon shall be bound by all of the provisions hereof and shall have the power and authority and shall assume the obligations, duties and liabilities of the General Partner hereunder as and from the date the new General Partner becomes a party to this Agreement.
