New Exercise Price. The per share exercise price of each Replacement Option will be equal to the fair market value of the Company’s common stock on the Option Grant Date. Accordingly, the exercise price for the Replacement Options cannot presently be determined. The cancelled Old Options may have an exercise price that is less than the exercise price of the Replacement Options.

New Exercise Price. Subject to the provisions of Section 6 hereof, the exercise price of the Warrants is hereby amended to be $1.64 per share, subject to adjustment pursuant to the terms of the Warrants (the “New Exercise Price”).
