Common use of Necessary Corporate Action Clause in Contracts

Necessary Corporate Action. Purchaser shall have received and inspected confirmation that all necessary corporate action on the part of the Company and each of the Sellers has been fully completed; including, but not limited to, the inspection of all consents or actions of the Board of Directors and shareholders of the Company relating to the transactions contemplated by the Transaction Documents.
