Navigation Tools. Any Keyword Search Terms to be directed to the Co-Branded Site shall be (i) subject to availability for use by DigitalWork and (ii) limited to the combination of the Keyword search modifier combined with a registered trademark of DigitalWork (e.g. "AOL keyword: XYZ Company Name"). AOL reserves the right to revoke at any time DigitalWork's use of any Keyword Search Terms which do not incorporate registered trademarks of DigitalWork. DigitalWork acknowledges that its utilization of a Keyword Search Term will not create in it, nor will it represent it has, any right, title or interest in or to such Keyword Search Term, other than the right, title and interest DigitalWork holds in DigitalWork's registered trademark independent of the Keyword Search Term. Without limiting the generality of the foregoing, DigitalWork will not: (a) attempt to register or otherwise obtain trademark or copyright protection in the Keyword Search Term; or (b) use the Keyword Search Term, except for the purposes expressly required or permitted under this Agreement. To the extent AOL allows AOL Users to "bookmark" the URL or other locator for the Co-Branded Site, such bookmarks will be subject to AOL's control at all times. Upon the termination of this Agreement, DigitalWork's rights to any Keyword Search Terms and bookmarking will terminate.

The Keyword(TM) online search terms made available on the AOL Service for use by AOL Members, combining AOL's Keyword(TM) online search modifier with a term or phrase specifically related to MERCHANT (and determined in accordance with the terms of this Agreement). Any Keyword Search Terms to be directed to Merchant's Site shall be (i) subject to availability and (ii) limited to the combination of the Keyword(TM) search modifier combined with a registered trademark of MERCHANT. AOL reserves the right at any time to revoke MERCHANT's use of any Keywords that are not registered trademarks of MERCHANT. MERCHANT acknowledges that its utilization of a Keyword Search Term will not create in it, nor will it represent it has, any right, title or interest in or to such Keyword Search Term, other than the right, title and interest MERCHANT holds in MERCHANT's registered trademark independent of the Keyword Search Term. Without limiting the generality of the foregoing, MERCHANT will not: (a) attempt to register or otherwise obtain trademark or copyright protection in the Keyword Search Term; or (b) use the Keyword Search Term, except for the purposes expressly required or permitted under this Agreement. To the extent AOL allows AOL Users to "bookmark" the URL or other locator for the Merchant Site, such bookmarks will be subject to AOL's control at all times. Upon the termination of this Agreement, MERCHANT's rights to any Keywords and bookmarking will terminate. For purposes of this Agreement, "Keyword Search Terms" shall mean the Keyword(TM) online search terms made available on the AOL Service for use by AOL Members, combining AOL's Keyword(TM) online search modifier with a term or phrase specifically related to MERCHANT (and determined in accordance with the terms of this Agreement).

MP acknowledges that its utilization of a Keyword Search Term will not create in it, nor will it represent it has, any right, title or interest in or to such Keyword Search Term, other than the right, title and interest MP holds in MP's registered trademark independent of the Keyword Search Term. Without limiting the generality of the foregoing, MP will not: (a) attempt to register or otherwise obtain trademark or copyright protection in the Keyword Search Term; or (b) use the Keyword Search Term, except for the purposes expressly required or permitted under this Agreement. To the extent AOL allows AOL Users to "bookmark" the URL or other locator for the Affiliated MP Site, such bookmarks will be subject to AOL's control at all times. Upon the termination of this Agreement, MP's rights to any Keyword Search Terms (subject to Section 4 of Exhibit G) will terminate.

AOL reserves the right to revoke at any time MP's use of any Keyword which do not incorporate bona fide or registered trademarks of MP. MP acknowledges that its utilization of a Keyword will not create in it, nor will it represent it has, any right, title or interest in or to such Keyword, other than the right, title and interest MP holds in MP's bona fide or registered trademark independent of the Keyword. Without limiting the generality of the foregoing, MP will not: (a) attempt to register or otherwise obtain trademark or copyright protection in the Keyword (unless such Keyword is also a bona fide trademark of MP); or (b) use the Keyword, except for the purposes expressly required or permitted under this Agreement. To the extent AOL allows AOL Users to "bookmark" the URL or other locator (e.g., in "Favorite Places") for the Affiliated MP Site, such bookmarks will be subject to AOL's control at all times. Upon the termination of this Agreement, MP's rights to any Keyword and bookmarking will terminate.
Navigation Tools. To the extent AOL grants InfoSpace any "keywords" on the AOL Service or "search terms" on XXX.xxx (collectively, "Keywords"), the Keywords will be subject to availability and will consist only of InfoSpace's registered trademarks. AOL reserves the right at any time to revoke InfoSpace's use of any Keywords that are not registered trademarks of InfoSpace. To the extent AOL allows AOL Users to "bookmark" the URL or other locator for the AOL White Pages, such bookmarks will be subject to AOL's control at all times. Upon the termination of this Agreement, InfoSpace's rights to any Keywords and bookmarking will terminate.

Any Keyword Search Terms to be directed to the Affiliated MP Site shall be (i) subject to availability for use by MP and (ii) limited to the combination of the Keyword-TM- search modifier combined with a registered or applied for trademark of MP (e.g. "AOL keyword: XYZ Company Name"). AOL reserves the right to revoke at any time MP's use of any Keyword Search Terms which do not incorporate registered trademarks of MP. MP acknowledges that its utilization of a Keyword Search Term will not create in it, nor will it represent it has, any right, title or interest in or to such Keyword Search Term, other than the right, title and interest MP holds in MP's registered or applied for trademarks independent of the Keyword Search Term. Without limiting the generality of the foregoing, MP will not: (a) attempt to register or otherwise obtain trademark or copyright protection in the Keyword Search Term that includes an AOL registered trademark; or (b) use the Keyword Search Term except for the purposes expressly required or permitted under this Agreement. To the extent AOL allows AOL Users to bookmark the URL or other locator for the Affiliated MP Site on the AOL Service, such bookmarks will be subject to AOL's control at all times. Upon the termination of this Agreement, MP's rights to any Keyword Search Terms to be made available on the AOL Service will terminate.

In addition to the Keyword Search Terms granted to 1-800-FLOWERS under the Original IMAs and set forth on Exhibit A hereto, any further Keyword Search Terms to be directed to any Affiliated 1-800-FLOWERS Site shall be (i) subject to availability for use by 1-800-FLOWERS and (ii) limited to the combination of the Keyword(TM)search modifier (i.e., "Keyword:") combined with a registered trademark of 1-800-FLOWERS. AOL reserves the right to revoke at any time 1-800-FLOWERS' use of any Keyword Search Terms which do not incorporate registered trademarks of 1-800-FLOWERS. 1-800-FLOWERS acknowledges that its utilization of a Keyword Search Term shall not create in it, nor shall it represent it has, any right, title or interest in or to such Keyword Search Term, other than the right, title and interest 1-800-FLOWERS holds in 1-800-FLOWERS' registered trademark independent of the Keyword Search Term. Without limiting the generality of the foregoing, 1-800-FLOWERS shall not: (a) attempt to register or otherwise obtain trademark or copyright protection in the Keyword Search Term; or (b) use the Keyword Search Term, except for the purposes expressly required or permitted under this Agreement. To the extent AOL allows AOL Users to "bookmark" the URL or other locator for any Affiliated 1-800-FLOWERS Site, such bookmarks shall be subject to AOL's control at all times. Upon the termination of this Agreement, 1-800-FLOWERS' rights to any Keyword Search Terms and bookmarking shall terminate.

Any Keyword Search Terms to be directed to any Affiliated ICP Site shall be (i) subject to availability for use by ICP and (ii) limited to the combination of the Keyword-TM- search modifier combined with a registered trademark of ICP (e.g. "AOL keyword: XYZ Company Name"). AOL reserves the right to revoke at any time ICP's use of any Keyword Search Terms which have been determined by a court or other governmental authority to violate the trademarks of a third party and, in the event that AOL receives notice from a third party that it believes that ICP's use of any Keyword Search Terms violates such third party's rights, AOL shall have the right to suspend ICP's use of such Keyword Search Term unless ICP provides AOL, within five (5) business days of written demand therefor, with (i) an indemnity for any liability resulting from ICP's continued use of such Keyword Search Term and (ii) an opinion of counsel, in a form reasonably acceptable to AOL, which concludes that ICP has meritorious defenses to any trademark infringement claim. ICP acknowledges that its utilization of a Keyword Search Term will not create in it, nor will it represent it has, any right, title or interest in or to such Keyword Search Term, other than the right, title and interest ICP holds in ICP's registered trademark independent of the Keyword Search Term. Without limiting the generality of the foregoing, ICP will not: (a) attempt to register or otherwise obtain trademark or copyright protection in the Keyword Search Term; or (b) use the Keyword Search Term, except for the purposes expressly required or permitted under this Agreement. To the extent AOL allows AOL Users to "bookmark" the URL or other locator for any such Affiliated ICP Site, such bookmarks will be subject to AOL's and ICP's control at all times. Upon the termination of this Agreement, except as otherwise provided for in this Agreement, ICP's rights to any Keyword Search Terms and bookmarking will terminate.
