Nature of the Transition Services. Each of the Parties acknowledges and understands that the Transition Services are transitional in nature and are furnished by the Service Providers for the purpose of facilitating the Transactions and the operation of the Dell Business and VMware Business following the Separation Effective Time. Each of the Service Recipients acknowledges that it will use commercially reasonable efforts to transition the Transition Services it receives to its own internal organization or a Third Party as promptly as reasonably practicable. Upon the termination of any or all of the Transition Services in accordance with this TSA, the applicable Service Provider shall, subject to applicable Law and upon the reasonable request of the Service Recipient, cooperate with such Service Recipient to support any transfer of records, data, files and other information received or generated for the benefit of the Service Recipient in connection with the provision of such Transition Services.

Purchaser acknowledges that it is required to transition the Seller Services to its own internal organization or any other third party service providers as promptly as practicable after the Closing.

  • Transition Services The Purchasers will provide to the Sellers termination assistance as reasonably requested in order to provide an orderly transition following the termination of the Agreement (or any portion thereof), and the Sellers will provide to the Purchasers reasonable cooperation and assistance in connection therewith. In connection with this transition assistance, the Purchasers and Sellers will reasonably cooperate in the transition of the Services from the Purchasers to any Replacement Provider. With respect to the Serviced Appointments subject to termination, the Sellers shall provide the Purchasers with notice of the effective date (each, a “Transition Effective Date”) of the transition of the Services to a Replacement Provider. Notwithstanding any termination of the Agreement (or any portion thereof) in accordance with this Article II, with respect to the Serviced Appointments subject to termination, the rights and obligations of the parties under the Servicing Agreement shall remain in effect until the applicable Transition Effective Date.

  • Acquisition Services (i) Serve as the Company’s investment and financial advisor and provide relevant market research and economic and statistical data in connection with the Company’s assets and investment objectives and policies;

  • Preconstruction Services At the Owner’s sole discretion and upon the Owner’s written direction, pursuant to a duly issued Work Order, the Construction Manager shall perform the Preconstruction Services. The Construction Manager shall coordinate the preparation of the Contract Documents by consulting with the Owner and the Architect regarding Drawings and Specifications as they are being prepared, and recommend alternate solutions whenever design details affect construction feasibility, cost or schedules, including without limitation, providing value engineering options. The Construction Manager shall promptly notify the Owner and Architect in writing of any apparent defects in the Contract Documents for any Project when it is discovered, as well as any apparent defects in the design documents for any Project, including without limitation, the Drawings and Specifications set forth in any Work Order affecting such Project.
