It is the intent of the parties to this Agreement that the certified public accountant shall not disclose to MTU any business details which may be found in the books of MRT while making such inspection except as needed to verify the reports. MRT shall have the right to refuse acceptance of the CPA if the CPA does not execute a Confidentiality Agreement with MRT relating to the books of account which are to be inspected. Acceptance of the CPA will not be unreasonably withheld by either party. MTU shall be responsible for the expense of the inspection contemplated by this paragraph III-12; provided, however, if the inspection shows the amounts paid as being at least ten percent (10%) less than that actually owed then MRT shall be responsible for the cost of the inspection.
