Mortgagee Waiver. Receipt of an executed copy of the Bank's standard Mortgagee Waiver from Ocwen Federal Savings Bank in its capacity as the holder of a mortgage on the Borrower's Easton property.
Mortgagee Waiver. Agent shall have received evidence satisfactory to Agent that Borrower used commercially reasonable efforts to obtain a mortgagee waiver, in form and substance satisfactory to Agent, duly executed by the mortgagee with respect to Borrower's Seagoville, Texas facility.
Mortgagee Waiver. Borrower shall use its best efforts to deliver to Agent on the Closing Date or thereafter, a mortgagee waiver executed by SCIDA in form and substance satisfactory to Agent on the Real Property. If Borrower shall fail to deliver such waiver to Agent, Agent shall, at its discretion, maintain a reserve which shall not exceed an amount equal to Borrower's aggregate payment obligations to SCIDA for a period of three (3) months.

Mortgagee Waiver. Lessee shall (a) cause to be delivered to the Agent within 60 days after the Closing Date either a mortgagee waiver covering the Items of Equipment located at 0000 X. Xxxxxxx Xxxxxx, Xxxxxx, Xxxx, or cause an opinion of reputable outside counsel licensed to practice in Ohio, in form and substance satisfactory to the Agent, that the Items of Equipment located at that site are not fixtures under local law, or (b) substitute for those Items of Equipment within 120 days after the Closing Date Replacement Equipment in accordance with Section 15.1
Mortgagee Waiver. Borrowers shall deliver to Lender a mortgagee waivers (the "Mortgagee Waivers") executed by the mortgagees of the Corporate Real Property, in form and manner satisfactory to Lender.
Mortgagee Waiver. 2. Title search must be performed confirming clear title to real estate held by Lessee.
Mortgagee Waiver. Upon a transfer of all or any portion of a Mortgagee’s interest in and to a Mortgage secured by any Parcel, the transferring Mortgagee shall notify the Board in writing of such transfer and the name and addresses of its successor. If such transferring Mortgagee fails to so notify the Board, the consent of the new Mortgagee shall not be required for any amendment pursuant to this Declaration. If a Mortgagee of a first Mortgage receives a written request from the Board to approve the termination of the Declaration or a proposed amendment to the Declaration, but it does not deliver a negative response to the Board within thirty (30) days of the Mortgagee’s receipt of such request from the Board, such Mortgagee shall be deemed to have approved the proposed termination or amendment.
Mortgagee Waiver. In connection with the refinancing from time to time by the Master Tenant of a working capital facility in favor of Master Tenant pursuant to that certain Loan and Security Agreement, dated as of May 7, 2004, by and among Master Tenant, the Persons from time to time party thereto as lenders, and Congress Financial Corporation, as administrative and collateral agent, Lender agrees to execute and deliver such mortgagee’s waiver agreement in form delivered in connection with the Loan. 104
Mortgagee Waiver. To induce Agent and Lenders to enter into this letter agreement, Borrower covenants and agrees to use reasonable efforts to deliver or cause to be delivered to Agent and Lenders, on or before November 30, 2004, a duly executed original Mortgagee Waiver by Xxxxx Fargo Bank, National Association in favor of Agent, in form and substance satisfactory in all respects to Agent and Lenders, with respect to the location of Chroma Systems at 0000 Xxxxx Xxxxx Xxxxxx, Santa Ana, California 92704.
