The payments of the settlement funds will be made as follows: Payment #1: The amount of $1.3 million shall be payable within 90 days from the date this settlement agreement is signed by all parties. Remaining Payments: The remaining $5.9 million is due as follows:\ni. Payment #2: $1.0 million due no later than 18 months after the first payment; payment; payment; payment;1\nii. Payment #3: $1.0 million due no later than 30 months after the first iii. Payment #4: $1.9 million due no later than 42 months after the first iv. Payment #5: $2.0 million due no later than 54 months after the first\n2. Notwithstanding the payments set for in Section III(B)(1), Foundation Parties will receive a credit of $12,500 for each of the above payments made on a timely basis. Any credit accrued will be deducted from the final payment in the event such final payment is made on or before the deadline set forth in Section III(B)(1)(iv). Any credits will be forfeited if Foundation Parties fail to make timely payments (miss any payment deadline). All deadlines for payment shall be strictly construed as evidenced by the postmark if by check or transmittal confirmation if by ACH or other accepted electronic payment.\n3. In addition to the credits set forth above, Foundation Parties will receive an additional credit of $50,000 if all sums owed are paid on or before forty-two (42) months after the first payment.\n4. One hundred thousand dollars ($100,000) of the settlement amount is stayed pending Foundation Parties complying with the non-monetary terms of the settlement. Should Foundation Parties violate any non-monetary settlement term, the $100,000 is due and payable at the next due date of settlement funds after the Attorney General advises Foundation Parties of the violation. If Foundation Parties violate any non-monetary settlement term after all funds owing are paid to the Attorney General, the Attorney General will seek payment of the $100,000 directly from the Foundation Party who violated the nonmonetary term of this settlement agreement.\n5. As an illustration, if Foundation Parties comply with the non-monetary terms of this settlement agreement and make all payments on time, Foundation Parties receive a credit of 1 Subject to any credits received as set forth in Section III(B)(2)-(4). $50,000 (for making all payments on time) and $100,000 (the stayed portion of the settlement). The final payment due under Section 3(iv) above would be $1,850,000 (one million, eight hundred, fifty thousand dollars) instead of $2.0 million. Upon closing of the Merger Transaction, SignalShare Hospitality shall issue and forward to TIG a non-cancellable Purchase Order for all of the Remaining Purchased Equipment and all of the Remaining Stored Equipment not released to SignalShare Hospitality pursuant to paragraph 2(a) of this Settlement Agreement and described in Exhibit \u201cC.\u201d Thereafter, SignalShare Hospitality shall pay for and take delivery of all of the Remaining Purchased Equipment and the Remaining Stored Equipment (except for the Remaining Stored Equipment already released to SignalShare Hospitality pursuant to paragraph 2(a) of this Settlement Agreement, and described in Exhibit \u201cC,\u201d and except for any of the Remaining Purchased Equipment sold to a third party pursuant to paragraph 3 of this Settlement Agreement) within one (1) year.\nii. Subject to the provisions of paragraph 3 of this Settlement Agreement, TIG shall release to SignalShare Hospitality specific items of the Remaining Purchased Equipment listed on Exhibit \u201cA\u201d and Remaining Stored Equipment listed on Exhibit \u201cB\u201d upon receipt of a written request specifying the items of such equipment to be released, the date they are to be released, and the identity of any buyer for the equipment.\niii. Prior to TIG\u2019s release of any items of the Remaining Purchased Equipment or the Remaining Stored Equipment to SignalShare Hospitality as provided in paragraph 2(c)(ii) of this Settlement Agreement, SignalShare Hospitality shall assign to TIG the right to collect directly from the buyer of that equipment the receivable created by SignalShare Hospitality\u2019s sale of items of the Remaining Purchased Equipment and Remaining Stored Equipment (the \u201cReceivables\u201d). From the buyer\u2019s payment of the Receivables, TIG shall retain the price reflected on Exhibit \u201cA\u201d and/or Exhibit \u201cB\u201d for such equipment before transmitting any extra funds to SignalShare Hospitality. If SignalShare Hospitality requests that items of the Remaining Purchased Equipment and/or Remaining Stored Equipment be released to it without an identified buyer for that equipment, SignalShare Hospitality shall pay TIG the amount reflected on Exhibit \u201cA\u201d and/or Exhibit \u201cB\u201d for that equipment upon delivery (COD).\niv. All of the Remaining Purchased Equipment described in Exhibit \u201cA\u201d hereto (unless sold to a third party pursuant to the provisions of paragraph 3 of this Settlement Agreement) and all of the Remaining Stored Equipment shall be retrieved and paid for by SignalShare Hospitality within one (1) year of the closing of the Merger Transaction.\nv. Interest shall accrue at the rate of six percent (6%) per year on the unpaid balance of $1,018,416.00 commencing August 11, 2014. Except to the extent interest is paid as provided in paragraph 2(c)(vi) of this Settlement Agreement, all accrued and unpaid interest shall be due and payable to TIG one (1) year from the closing of the Merger Transaction.\nvi. All sums received and retained by TIG as proceeds from sales or releases of the Remaining Purchased Equipment and Remaining Stored Equipment pursuant to paragraph 2(c)(i) through 2(c)(iv) of this Settlement Agreement and all sums credited pursuant to paragraph 3(e) of this Settlement Agreement shall first be applied to the $1,018,416.00 set forth in paragraph 2(c) of this Settlement Agreement, then to the interest due on that amount pursuant to paragraph 2(c)(v) of this Settlement Agreement, and then to any remaining balance due TIG under paragraph 2(b) of this Settlement Agreement until the full Settlement Amount due to TIG under the terms of this Settlement Agreement are paid in full.
