Milestone Achievement i. The provider will perform tasks necessary to meet milestones required by the BHI Incentive Program application. The provider shall provide the plan with information necessary to demonstrate progress in achieving milestones as set forth in the BHI Incentive Program application.
Milestone Achievement. 2.2.1 EHI shall notify the Customer in writing each time it achieves a Milestone. Where the Customer, acting reasonably, considers that such Milestone has not been achieved then the parties shall discuss in good faith the reasons for this and, acting reasonably, any additional work required of the Supplier in order to achieve such Milestone.
Milestone Achievement. The relevant milestone with respect to the applicable Subsequent Closing identified in Section 1.2 shall have been achieved as determined and identified in Section 6.3 of the Collaboration Agreement.
Milestone Achievement. Promptly following Xxxxx’s determination that it has achieved a particular Research Milestone or Development Milestone with respect to a Collaboration Product of either Cell Type, Notch shall provide the JDC with a data package that includes the data and information required under the Research Plan and reasonably necessary for the JDC to determine whether the Success Criteria for such milestone has been achieved. The JDC shall have [***] days to meet and consider such data package, and to determine in writing whether such Success Criteria have been achieved. The JDC may request that Notch provides additional data and information to assist in such determination, which Notch shall promptly provide. If the JDC determines that the applicable Success Criteria have been achieved, then . Allogene shall pay the applicable milestone payment in accordance with Section 6.4 or 6.5, as applicable.
Milestone Achievement. ACHIEVEMENT OF MILESTONES Once the Supplier considers it has completed a Milestone (in accordance with the Implementation Plan) it shall submit reasonable evidence to the Customer that the Milestone meets the Acceptance Criteria. The Supplier shall not submit any evidence in relation to a Milestone under Paragraph 1.3 unless the Supplier is reasonably confident (having subjected the deliverables to its own internal quality control measures) that it will satisfy the relevant Acceptance Criteria. The Supplier shall submit its evidence for each Milestone on or before the relevant Milestone Date. The Customer shall review the evidence provided by the Supplier under this Paragraph 3 to determine whether or not the Milestone meets the Acceptance Criteria. Where possible this evidence shall be reviewed by the Service Management Board and if a more urgent review is required the Parties will agree a forum for review of the evidence against the Milestone Acceptance Criteria. Any Disputes between the Customer and the Supplier regarding the Achievement of Milestones shall be referred to the Dispute Resolution Procedure using the Expedited Dispute Timetable.
Milestone Achievement. Within five (5) Business Days following the achievement of any Milestone, Parent shall deliver a notice in writing (each, a “Milestone Notice”) to the Representative regarding the achievement of the applicable Milestone and a brief summary of the relevant details thereof. Within ten (10) Business Days following Parent’s delivery of a Milestone Notice, Parent shall deliver to the Representative a spreadsheet (each, a “Milestone Spreadsheet”) setting forth (i) a list of each Seller and the amount of applicable Milestone Consideration payable to such Seller, after factoring in any deduction for any amount subject to the Offset Right, (ii) with respect to the achievement of the FDA Milestone, the amount of cash equal to the Per Share FDA Milestone Consideration payable to such Seller, and (iii) with respect to the achievement of the CMS Milestone, the amount of cash equal to the Per Share CMS Milestone Consideration payable to such Seller. Within ten (10) Business Days after receipt of a Milestone Spreadsheet, Parent shall deliver the applicable Milestone Consideration to be allocated among the Sellers pursuant to Section 2.6(c), Section 2.7(a), Section 2.7(c) and Section 2.8(b) and in accordance with the Milestone Spreadsheet and the other applicable terms and provisions of this Agreement; provided, however, that with respect to any shares of Company Capital Stock for which a properly completed Letter of Transmittal has not been received by the Exchange Agent, Parent shall be entitled to withhold the payment in respect thereof until receipt by the Exchange Agent of a properly completed Letter of Transmittal. Parent shall pay interest on any payments that are not paid on or before the date such payments are due under this Section 2.20(a) at an annual rate of one and a half percent (1.5%) per month or the maximum applicable legal rate, if less, calculated based on the days such payment is delinquent.
Milestone Achievement. Within five (5) Business Days following the achievement of any Milestone, Parent shall deliver a notice in writing (each, a “Milestone Notice”) to the Representative regarding the achievement of the applicable Milestone. Within five (5) Business Days following Parent’s delivery of a Milestone Notice, Parent shall (A) deliver to the Representative a spreadsheet (each, a “Milestone Spreadsheet”) setting forth a list of each Seller and the amount of Milestone Shares payable to such Seller, after factoring in any deduction for any amount subject to the Offset Right, and (B) deliver book entries reflecting the Milestone Shares that are allocated among the Sellers pursuant to Section 2.6(c), Section 2.7(a), Section 2.10(a) and in accordance with the Milestone Spreadsheet and the other applicable terms and provisions of this Agreement; provided, however, that with respect to any shares of Company Capital Stock or Company Warrants for which a properly completed Letter of Transmittal has not been received by the Exchange Agent, Parent shall be entitled to withhold the book entries reflecting the Milestone Shares issuable with respect to such shares of Company Capital Stock or Company Warrants and to issue such shares Milestone Shares promptly following such receipt by the Exchange Agent.
Milestone Achievement. (a) A Milestone shall be deemed achieved upon the Successful Completion by SUPPLIER that the Work that is the subject of the Milestone has been Successfully Completed in accordance with the requirements of this Agreement, and that all conditions established by this Agreement as prerequisites to payment of the invoice have been fulfilled as defined in Exhibit A, Statement of Work and Specifications.
Milestone Achievement. When a Milestone is achieved, the PMT will assess whether: (1) the Project is estimated to achieve Project Final Completion within the Contract Time; and (2) whether the Estimated Final Cost is less than or equal to the Base Target Cost (or if the Final Target Cost has been set, the Final Target Cost).
Milestone Achievement. Borrower Representative shall have provided Lenders with evidence reasonably satisfactory to Lenders that Co-Borrowers have achieved at least one Milestone.
