MEMORANDA, NOTES AND RECORDS Clause Samples
The "Memoranda, Notes and Records" clause governs the creation, ownership, and handling of written or electronic records, notes, or memoranda related to the subject matter of the agreement. Typically, this clause specifies that any such documents produced by one party in connection with the agreement remain the property of that party or must be returned or destroyed upon request or termination. For example, if an employee takes notes during a confidential meeting, those notes may be required to be handed over to the employer. The core function of this clause is to protect sensitive information and intellectual property by controlling the distribution and retention of records generated during the course of the contractual relationship.
