Common use of Membership Termination Clause in Contracts

Membership Termination. No Member may terminate its membership in the Sector 21 other than in accordance with this Section 12. A Member that has agreed to join the Sector prior to the 22 Effective Date may withdraw from Sector membership prior to the Effective Date without penalty or 23 prejudice. Thereafter, only a Member that is not in breach of this Agreement and that has no 24 outstanding Sector performance or payment obligations may terminate its membership in the Xxxxxx, 00 and may do so only in compliance with the terms and conditions of this Section 12. Notwithstanding the 26 foregoing, the Board may terminate the membership of a Member in breach of its payment or 27 performance obligations under this Agreement, as the Board deems appropriate in its sole discretion.

Notwithstanding the 26 foregoing, the Board may terminate the 26 membership of a Member in breach of its payment or 27 performance obligations under this 27 Agreement, as the Board deems appropriate in its sole discretion.

Thereafter, only a Member that is not in breach of this 25 Agreement and that has no 24 outstanding Sector performance or payment obligations may 26 terminate its membership in the XxxxxxSector, 00 and may do so only in compliance with the terms and 27 conditions of this Section 12. Notwithstanding the 26 foregoing, the Board may terminate the 1 membership of a Member in breach of its payment or 27 performance obligations under this 2 Agreement, as the Board deems appropriate in its sole discretion.

Notwithstanding the 26 9 foregoing, the Board may terminate the membership of a Member member in breach of its payment or 27 10 performance obligations under this Agreement, as the Board deems appropriate in its sole discretion.

A Member that has agreed to join the Sector prior to the 22 7 Effective Date may withdraw from Sector membership prior to the Effective Date without penalty or 23 8 prejudice. Thereafter, only a Member that is not in breach of this Agreement and that has no 24 outstanding 9 Sector performance or payment obligations may terminate its membership in the XxxxxxSector, 00 and may do so 10 only in compliance with the terms and conditions of this Section 12. Notwithstanding the 26 foregoing, the 11 Board may terminate the membership of a Member in breach of its payment or 27 performance obligations 12 under this Agreement, as the Board deems appropriate in its sole discretion.
