Meetings; Notices. (a) Regular meetings of the Board of Managers may be held on at least one (1) day’s prior written notice at such time and at such place as shall from time to time be determined by the Board of Managers.

Meetings; Notices. The Managing General Partner may at any time call a meeting of the Limited Partners or for a vote, without a meeting, of the Limited Partners on matters on which they are entitled to vote, and shall call for such meeting or vote following receipt of written request therefor of Limited Partners holding 10% or more of the Units held by all Limited Partners as of the date of receipt of such written request ("notice date"). Within ten days of such notice date, the Managing General Partner shall notify all Limited Partners of record as of the notice date as to the time and place of the Partnership meeting, if called, or if no such meeting has been called, the date upon which the votes will be counted, and shall deliver a detailed statement of the action proposed, including a verbatim statement of the wording of any resolution proposed for adoption by the Limited Partners and of any proposed amendment to this Agreement. The date of any Partnership meeting or the date upon which such votes, without a meeting, will be counted shall be no less than ten nor more than sixty days following mailing of the notice thereof by the Managing General Partner. All expenses of the voting and such notification shall be borne by the Partnership. If a meeting is adjourned to another time or place, and if an announcement of the adjournment of time or place is made at the meeting, it shall not be necessary to give any notice of the adjourned meeting. The presence in person or by proxy of a majority in interest of the Limited Partners shall constitute a quorum at all meetings of the Limited Partners; provided, however, that if there be no such quorum, holders of a majority in interest of the Limited Partners present may adjourn the meeting from time to time without further notice until a quorum shall have been obtained. No notice of the time, place or purpose of any meeting of Limited Partners need be given to any Limited Partner who attends in person or is represented by proxy, except for a Limited Partner attending a meeting for the express purpose of objecting at the beginning of the meeting to the transaction of any business on the ground that the meeting is not lawfully called or convened, or to any Limited Partner entitled to such notice who, in writing, executed and filed with the records of the meeting, either before or after the time thereof, waives such notice.

Notice given in accordance with this provision shall be deemed to be given at the time when the same is received by personal delivery, deposited in the mail or sent by facsimile.
