Media Cloud Term and Termination Clause Samples
The 'Media Cloud Term and Termination' clause defines the duration of the agreement for media cloud services and the conditions under which either party may end the contract. Typically, this clause specifies the initial term (such as one year), outlines any automatic renewal provisions, and details the procedures for early termination, including notice requirements or potential penalties. Its core function is to provide both parties with clear expectations regarding how long the agreement will last and the steps necessary to end the relationship, thereby reducing uncertainty and managing risk.

Notwithstanding anything to the contrary in the MSA or the Order Form to which this Addendum is attached (the “Order Form”), unless earlier terminated as provided herein, these Media Cloud Terms shall commence on the Order Effective Date and continue through the end of the term of the MSA (the “Term”). If Customer’s right to use the Learning Service has expired or terminated, then either Party may terminate these Media Cloud Terms by providing formal written notice in accordance with the notice requirements in the MSA. As of the effective date of termination of these Media Cloud Terms: (a) Customer shall immediately cease accessing and otherwise utilizing Media Cloud; (b) Customer will no longer provide any Media Cloud Content; and (c) Workday will delete all of Customer’s Media Cloud Content in a timely manner. Except for Customer’s right to use Media Cloud, the provisions herein shall survive any termination or expiration of these Media Cloud Terms. Customer understands that Media Cloud Terms must be in place for Customer to use certain features of other Workday Service applications, such as Learning.
