MCN. Covered Retirees who retired on or before December 31, 2016 will have no deductible on an in-network basis. The annual deductible on an out- of-network basis will be $725. Covered Retirees who retire after December 31, 2016 will be subject to the deductible provisions in effect on the date of the Covered Retiree’s retirement.

MCN. Sellers have full information concerning the financial --- condition, business and affairs of MCN. All information regarding MCN furnished by Sellers to IMS is complete and accurate. Sellers are not aware of any material fact or circumstances concerning the business of MCN not disclosed to IMS which would reasonably be expected to have a Material Adverse Effect on the business of MCN. The unaudited financial statements and related financial information of MCN at, and for the period ending, August 31, 1995, furnished by UAV to IMS, have been prepared in accordance with generally accepted accounting principles consistently applied and are complete and accurately reflect all obligations and liabilities of MCN.
MCN. The obligations of MCN to close the transactions contemplated at the relevant Closing are, at the option of MCN, subject to the conditions that:
MCN. MCN represents and warrants that: (i) MCN is a Tennessee limited liability company duly organized in the State of Tennessee; (ii) MCN has the full right, power and authority to enter into and to perform this Agreement, and to grant to PAID all rights and licenses set forth herein, and is not bound by any other agreement to offer, negotiate, or grant any such licensing rights to any other licensee; (iii) MCN is not under any restriction or obligation, nor is a party to any other agreement that may or will impair MCN's full performance of this Agreement; (iv) no content provided with respect to the Accounts or VIP Services by MCN to be used in connection with this Agreement shall violate or infringe upon any common law or statutory rights of any party, including contractual rights, copyrights, and rights of privacy or publicity of any party.

  • Electric Storage Resources Developer interconnecting an electric storage resource shall establish an operating range in Appendix C of its LGIA that specifies a minimum state of charge and a maximum state of charge between which the electric storage resource will be required to provide primary frequency response consistent with the conditions set forth in Articles 9.5.5, 9.5.5.1, 9.5.5.2, and 9.5.5.3 of this Agreement. Appendix C shall specify whether the operating range is static or dynamic, and shall consider (1) the expected magnitude of frequency deviations in the interconnection; (2) the expected duration that system frequency will remain outside of the deadband parameter in the interconnection; (3) the expected incidence of frequency deviations outside of the deadband parameter in the interconnection; (4) the physical capabilities of the electric storage resource; (5) operational limitations of the electric storage resources due to manufacturer specification; and (6) any other relevant factors agreed to by the NYISO, Connecting Transmission Owner, and Developer. If the operating range is dynamic, then Appendix C must establish how frequently the operating range will be reevaluated and the factors that may be considered during its reevaluation. Developer’s electric storage resource is required to provide timely and sustained primary frequency response consistent with Article 9.5.5.2 of this Agreement when it is online and dispatched to inject electricity to the New York State Transmission System and/or receive electricity from the New York State Transmission System. This excludes circumstances when the electric storage resource is not dispatched to inject electricity to the New York State Transmission System and/or dispatched to receive electricity from the New York State Transmission System. If Developer’s electric storage resource is charging at the time of a frequency deviation outside of its deadband parameter, it is to increase (for over-frequency deviations) or decrease (for under-frequency deviations) the rate at which it is charging in accordance with its droop parameter. Developer’s electric storage resource is not required to change from charging to discharging, or vice versa, unless the response necessitated by the droop and deadband settings requires it to do so and it is technically capable of making such a transition.

  • Customer Services Customer Relationship Management (CRM): All aspects of the CRM process, including planning, scheduling, and control activities involved with service delivery. The service components facilitate agencies’ requirements for managing and coordinating customer interactions across multiple communication channels and business lines. Customer Preferences: Customizing customer preferences relative to interface requirements and information delivery mechanisms (e.g., personalization, subscriptions, alerts and notifications).

  • Network Services Preventive care: 100% coverage. Preventive services include, but are not restricted to routine physical exams, routine gynecological exams, routine hearing exams, routine eye exams, and immunizations. A $100 single and $200 family combined annual deductible will apply to lab/diagnostic testing after which 100% coverage will apply. A $50 copay will apply to CT and MRI scans.

  • Verizon OSS Services Access to Verizon Operations Support Systems functions. The term “Verizon OSS Services” includes, but is not limited to: (a) Verizon’s provision of Reconex Usage Information to Reconex pursuant to Section 8.1.3 below; and, (b) “Verizon OSS Information”, as defined in Section 8.1.4 below.

  • Extra Services District-authorized Services outside of the scope in Exhibit “A” or District-authorized reimbursables not included in Construction Manager’s fee.
