Maximum Cash Price. The cash portion of the purchase price to be paid by the Parent or any of its Subsidiaries in connection with the MobileMedia Transactions (including transactions fees and expenses) shall not exceed (1) if the Merger Effective Date is on or before December 31, 1998, $575,000,000, and (2) if the Merger Effective Date is after December 31, 1998, $585,000,000, in each case of which at least $217,000,000 consists of the net proceeds of the Rights Offering.

  • Maximum or Minimum Interest Rate If specified on the face hereof, this Note may have either or both of a Maximum Interest Rate or a Minimum Interest Rate.
