Material Nonpublic Information. The Seller confirms that neither it, the Company nor any other person or entity acting on either of their behalf has provided any of the Purchasers or their respective agents or counsel with any information that constitutes or could reasonably be expected to constitute material, non-public information. The Seller further confirms that its is not selling the Purchase Shares hereunder on the basis of material non-public information. The Seller understands and confirms that each of the Purchasers will rely on the foregoing representations in effecting transactions in securities of the Company.
