Master Transaction Agreement. All of the conditions of ▇▇▇▇▇▇ and Genlyte set forth in the Master Transaction Agreement shall have been satisfied, the LLC Agreement shall be effective and the Genlyte Capitalization Agreement shall close simultaneously herewith.
