Marketplace. The Board utilizes an eProcurement system referred to as “Marketplace” for electronic order placement of goods and services via a hosted eCatalog. At the Board’s sole discretion, the Board may eliminate use of an eProcurement system or determine that certain services or goods may not be made available for purchase by the Board through an eProcurement system. Access to Marketplace is for internal CPS use only. CPS Schools, Networks and Departments may use Marketplace to place an order/purchase. Once the purchase is made through the Marketplace a Purchase Order (“PO”) will be sent to Vendor electronically through the CPS iSupplier portal. Vendor shall have the option of making its Products and Services available through Marketplace; however Vendor is not required to utilize Marketplace. Orders and purchases must still be placed utilizing approved POs. The Marketplace is a supplemental tool for the Board’s benefit and efficiency and is not to be used in lieu of the process for placing orders or obtaining services as otherwise provided in this Agreement. Use of the Marketplace by Vendor may result in greater visibility of Vendor’s Products and Services to CPS Schools, Networks and Departments. If Vendor chooses to use Marketplace, Vendor is responsible for entering the description of the Products and Services and associated pricing into the Marketplace and must maintain its own catalog(s). The information entered into the Marketplace by Vendor must be in conformity with the terms of the Agreement. The initial Vendor information entered into Marketplace must be approved by an authorized representative of Board, or otherwise in accordance with Board’s then-current procedures. Prior to making any changes to the Marketplace, Vendor must first submit the proposed modification or amendment to the Board Project Manager identified in the Scope of Services for review and approval, which approval must be documented by a written amendment signed by the authorized representatives of both Parties in accordance with the terms of the Agreement. Any addition, deletion, change, modification or substitution of Services in Marketplace that is not made in compliance with the Agreement shall be void. Vendor may not include on the CPS Marketplace any hyperlinks to any external site. Access to the Marketplace is not considered a “Service” under this Agreement, however, all restrictions, Our reservation of rights and Your responsibilities and obligations concerning the Services shall apply equally to Your and Your Employees’ use of the Marketplace. League makes no representations, warranties or guarantees to You or Your Employees with respect to the specifications, capabilities, safety, effectiveness, or other features of any product or service offered in the Marketplace. We will have no liability for any harm or damage arising out of or in connection with the use of the Marketplace or products or services procured through or referenced or endorsed by the Marketplace.

The Qualified Component Manufacturer agrees to provide RetrofitNY, within 30 days of qualification, with a Component Information Sheet (Attachment 5) for each Component approved through the Component Manufacturer RFQL 4551 and will allow RetrofitNY to post the descriptions of the Components to a secure NYSERDA site for Qualified Solution Providers and Qualified Building Owners to review. The description of the component will include the relevant typologies and performance specifications.

If you believe that you shipped advanced materials and do not see them when you arrive onsite, please visit the Exhibit Services Desk. Please be prepared with your carrier information (i.e. FedEx, UPS) and relevant tracking numbers. If you have empty pallets or crates to be stored for the duration of the show, please visit the Exhibit Services Desk. If you have items to be shipped out following the show and you will be shipping out via your preferred carrier (including UPS and FedEx), and wish to have them picked-up directly from the Convention Center: • You must have outgoing labels on the items. • You must arrange for pick-up. UPS or FedEx will not pick-up your materials at the Convention Center unless you call and arrange for the pick-up. • These items should be brought to the Sales Office located off the South Lobby. If the door is closed, please leave the items outside the office door. If you are physically unable to move your items to the Sales Office, please alert a member of the Convention Center Staff. • All items must be picked up by Wednesday February 20, 2023 If items that are left behind in the exhibit hall, they may be disposed of at the discretion of the Tinley Park Convention Center.

You grant Sharetribe a perpetual, irrevocable, royalty-free, non-exclusive, sublicensable and transferable license to use, copy, reproduce, modify, make available and distribute such material for the purposes of making available the Service. Any and all intellectual property rights to any material provided by end-users of the Marketplace shall remain the property of such end-users or third parties. You undertake to ensure, in the Marketplace Terms, that such end-users grant (and have the right to grant) to You a perpetual, irrevocable, royalty-free, non-exclusive, sublicensable and transferable license to use, copy, reproduce, modify, make available and distribute such material so that You may grant a similar license to Sharetribe for the purposes of making available the Service. You hereby agree to grant such licenses to Sharetribe as you acquire such rights Yourself from the end-users or from other third parties. You may, at any time during the term of this Agreement, request that Sharetribe provides You with a copy of the material provided by You or by the end-users of the Marketplace. Such material shall be provided by making it available to You in a reasonable manner separately agreed by You and Sharetribe. Sharetribe shall have the right to invoice you any reasonable expenses incurred by Sharetribe as a result of making the material available to You.
