We will draw your attention to the risks associated with these investments as there is a restricted market for them. Unregulated Products Our services may also include advice on other financial products which are not regulated by the FCA under the Financial Services & Markets Act 2000 (such as deposit accounts, or unregulated non- mainstream pooled investments). FEES & COSTS Payment For Services By signing this agreement you are agreeing to pay the charges for our services as set out in Section 11 (Service Engagement). Our fee for initial advice is payable whether or not you implement our advice. Our charges are payable on presentation of our invoice. If our bill remains unpaid for more than 28 days we reserve the right to:  Charge interest at the rate of 3% over the Handelsbanken base lending rate on the outstanding balance;  To cease acting for you and to instruct third party agents to cease acting for you; and  To retain all documents, working papers and any other items in our possession relating to any matter until all outstanding invoices are paid in full. VAT at the current rate may be added to our fees, expenses and disbursements if the work undertaken falls within the scope of VAT.
MARKET FLUCTUATIONS. The Bank understands and agrees that the nature of assets held in the Account is such that the aggregate market value of such assets may fluctuate as a result of market factors beyond the direct control of Client and the Trust Department. Due to such market risk, the aggregate market value of the Account may fall below the amount of Client’s outstanding indebtedness to the Bank. The Bank acknowledges and understands that the Trust Department does not represent, warrant or guarantee that the assets held in the Account will maintain any minimum aggregate market value. Bank and Client accept this market risk as a condition of the Trust Department’s accepting this Agreement and hold Trust Department harmless with respect to any loss in market value of the Account resulting from such market risk.
MARKET FLUCTUATIONS. Client acknowledges that the market for currency is subject to sudden changes due news events and other announcements, acts of war or terrorism, power failures, strikes or civil commotions, business trends, political developments, fluctuations in other financial and commodity markets, and other factors beyond Bforex's control. Bforex may determine in its sole discretion that an emergency or exceptional market condition exists, in which case it reserves the right to impose trading limits or special terms, cancel or suspend any transaction, or close an account.

MARKET FLUCTUATIONS. At any time, in the event of extraordinary increases or decreases (in the amount of 5% or more) in the market price of fuels, materials, raw materials, equipment, labor and other production costs, N.M.B. shall have the right to renegotiate in good faith the price of goods not yet shipped or services to be performed, with the exclusion of Finished Products and Special Inventory and if, in good faith, agreement is not achieved, both N.M.B. and Customer shall have the right to terminate the specific purchase order(s) or the Agreement.
MARKET FLUCTUATIONS. Unless otherwise agreed to, in the event of extraordinary increases or decreases (in the amount of 5% or more) in the market price of materials, raw materials, labor and other production costs, Viasystems shall have the right to renegotiate in good faith the price of goods not yet shipped, with the exclusion of finished Products. Viasystems shall substantiate such changes in cost with documentation satisfactory to Buyer, including, but not limited to, a list of purchased material and purchased services showing quantities and cost for each, and direct labor hours for each operation. If agreement is not reached on pricing for existing Purchase Orders, Viasystems shall have the right to reject any forecast not covered by an existing Purchase Order.

  • Currency Fluctuations If on any Computation Date the Revolving Facility Usage is equal to or greater than the Revolving Credit Commitments as a result of a change in exchange rates between one (1) or more Optional Currencies and Dollars, then the Administrative Agent shall notify the Borrower of the same. The Borrower shall pay or prepay (subject to Borrower’s indemnity obligations under Section 2.20 [Increased Costs and Reduced Return] and Section 2.25 [Indemnity]) within five (5) Business Days after receiving such notice such that the Revolving Facility Usage shall not exceed the aggregate Revolving Credit Commitments after giving effect to such payments or prepayments.

  • Financial Risks The Purchaser acknowledges that it is able to bear the financial risks associated with an investment in the Shares and that it has been given full access to such records of the Company and the subsidiaries and to the officers of the Company and the subsidiaries as it has deemed necessary or appropriate to conduct its due diligence investigation. The Purchaser is capable of evaluating the risks and merits of an investment in the Shares by virtue of its experience as an investor and its knowledge, experience, and sophistication in financial and business matters and the Purchaser is capable of bearing the entire loss of its investment in the Shares.

  • Market Adjustments 22. Neither this Article nor any other in this Collective Agreement prevents the Employer from using other funds to increase a Member’s salary in response to offers received from other employers or to accommodate other market forces.

  • Open Market Purchases Failure of the Contractor to Perform within the time specified in the Contract, or failure to replace rejected or substandard Goods or fulfill unperformed Services when so requested and as the Contract provides or allows, constitutes a breach of the Contract and as a remedy for such breach, such failure shall constitute authority for DAS, if it deems it to be necessary or appropriate in its sole discretion, to Terminate the Contract and/or to purchase on the open market, Goods or Services to replace those which have been rejected, not delivered, or not Performed. The Client Agency shall invoice the Contractor for all such purchases to the extent that they exceed the costs and expenses in Exhibit B and the Contractor shall pay the Client Agency’s invoice immediately after receiving the invoice. If DAS does not Terminate the Contract, the Client Agency will deduct such open market purchases from the Contract quantities. However, if the Client Agency deems it to be in the best interest of the State, the Client Agency may accept and use the Goods or Services delivered which are substandard in quality, subject to an adjustment in price to be determined by the Client Agency.
