Common use of Market Activities Clause in Contracts

Market Activities. Neither the Company, nor any Subsidiary, nor any of their respective officers, directors or controlling persons will, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or might reasonably be expected to constitute or result, in the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Shares or (ii) sell, bid for, or purchase Common Shares in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Shares.

Market Activities. Neither the Company, nor any Subsidiary, nor any of their respective officers, directors or controlling persons will, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or might reasonably be expected to constitute or result, in the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Ordinary Shares or (ii) sell, bid for, or purchase Common Ordinary Shares in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Shares.

Market Activities. Neither the Company, Company nor any Subsidiary, nor any of their respective officersdirectors, directors officers or controlling persons will, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or might would reasonably be expected to constitute or resultconstitute, in the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Shares Stock or (ii) sell, bid for, or purchase Common Shares Stock in violation of Regulation M, M or pay anyone any compensation for soliciting purchases of the SharesPlacement Shares other than the Distribution Agent.
