Manner of Giving. A communication may be delivered by hand, sent by prepaid post or sent by facsimile transmission to the address of the party or parties to which it is being given and is deemed to have been received:

Manner of Giving. Whenever under the provisions of the laws of the State of Delaware, the Certificate of Incorporation or these By-laws, notice is required to be given to any director or stockholder, it shall not be construed to mean personal notice, but such notice may be given by mailing or telegraphing (including telex or cable or other similar means) the same to each such director or stockholder at such address as appears on the books or in the records of the Corporation, and such notice shall be deemed to be given at the time when the same is thus mailed or telegraphed.
Manner of Giving. Each such communication shall be given (i) by registered or certified mail of the United States Postal Service, return receipt requested, postage prepaid, (ii) by overnight delivery service guaranteeing next business day delivery, or (iii) via telecopier or facsimile transmission to the facsimile number listed above; provided, however, that if such communication is given by telecopier or facsimile transmission, an original counterpart of such communication shall concurrently be sent in the manner specified in clause (ii) above.
