MANAGERIAL PERSONNEL. Hanover shall make sufficient number of its officers and employees available to manage and operate the Business as Hanover shall in good faith determine to be necessary. Such officers and employees shall be employees of Hanover and shall report to and be responsible to Hanover. Such officers and employees shall not be employees of OEC.
MANAGERIAL PERSONNEL. Borrower has and shall maintain adequate managerial personnel to implement and execute Borrower's business operations as set forth in the Approved Full Term Operating Business Plan.
MANAGERIAL PERSONNEL. The Contractor's resident Food Service Director, Associate Food Service Director(s) and unit manager(s) shall be selected with the prior approval of the University. Any replacement personnel must be acceptable to the University. Positions shall not remain vacant for a period to exceed thirty (30) days. The Contractor shall consult with the University regarding all off- campus transfers of the director, associate director, or unit managers prior to announcing the transfer to the affected individual. The University shall carefully weigh the advantages the transfer may have for the individual affected when determining whether to consent to the transfer request. The minimum managerial staff requirements for the food service operation are as follows:
MANAGERIAL PERSONNEL. Upon Client's written request, North American shall provide Client with the services of managerial and supervisory personnel as deemed necessary by Client at such prevailing rates as the parties hereto shall agree and shall schedule at Exhibit A, including amendments thereto (the "Managerial Personnel"). North American shall invoice Client for all Managerial Personnel consistent with the rate structure specified in Exhibit A.

  • Essential Personnel For a period of one year commencing on the effective date of this Agreement, the Adviser and the Fund agree that the retention of (i) the chief executive officer, president, chief financial officer and secretary of the Adviser and (ii) each director, officer and employee of the Adviser or any of its Affiliates (as defined in the Investment Company Act of 1940, as amended (the "1940 Act")) who serves as an officer of the Fund (each person referred to in (i) or (ii) hereinafter being referred to as an "Essential Person"), in his or her current capacities, is in the best interest of the Fund and the Fund's shareholders. In connection with the Adviser's acceptance of employment hereunder, the Adviser hereby agrees and covenants for itself and on behalf of its Affiliates that neither the Adviser nor any of its Affiliates shall make any material or significant personnel changes or replace or seek to replace any Essential Person or cause to be replaced any Essential Person, in each case without first informing the Board of Trustees of the Fund in a timely manner. In Addition, neither the Adviser nor any Affiliate of the Adviser shall change or seek to change or cause to be changed, in any material respect, the duties and responsibilities of any Essential Person, in each case without first informing the Board of Trustees of the Fund in a timely manner.

  • Principal Personnel The management of the Bidder company who make operational decisions.   • Inherent Managerial Rights The exclusive representative recognizes that the School District is not required to meet and negotiate on matters of inherent managerial policy, which include, but are not limited to, such areas of discretion or policy as the functions and programs of the employer, its overall budget, utilization of technology, the organizational structure and selection and direction and number of personnel.
