Manager Meetings. The Managers may hold meetings, both regular and special, either within or without the state of the Company’s principal place of business. Regular meetings of the Managers may be held without notice at such time and at such place as shall from time to time be determined by the Managers. Special meetings of the Managers may be called by a Manager on one (1) day’s notice to each Manager, either personally or by mail or by telegram. At all meetings of the Managers, a majority of the Managers shall constitute a quorum for the transaction of business, and the act of majority of the Managers present at any meeting at which there is a quorum shall be the act of the Managers. Any action required or permitted to be taken at any meeting of the Mangers may be taken without a meeting if the Managers who have the necessary votes to take such action consent in writing.
