Management Services Agreement. Except as set forth on Schedule 3.2.11, Susanville is not a party to or bound by any consulting agreement or similar agreement under which any person is providing consulting services, or other services similar to those provided by an employee on an independent contractor basis, whether temporary or permanent, and Susanville has never been a party to any such consulting or similar agreement that would impose any liability (or obligation to pay any liability) on Susanville after the Closing Date.
