Management LLC. On or prior to the Closing Date, Seller shall take, and shall cause GeoSouthern to take, take all steps reasonably necessary to effect the transfer of the employment of those Employees who are employed by GeoSouthern to Management LLC and the contribution of Management LLC to Seller. Not later than three (3) days prior to the Closing Date, Seller shall update Schedule 4.9(a)(ii), accordingly, in compliance with the provisions of this Agreement.
