Management and Staffing. If on-site staffing is provided, Philips will determine and provide the management and service staff necessary to provide the Services under this Exhibit. Philips will pay all salaries, payroll and other employment taxes or fees, worker's compensation insurance, and other charges or insurance levied or required by any federal, state, or local statutes, relating to its employees.
Management and Staffing. The Provider undertakes to provide the Staff necessary for the performance of the Services and undertakes that all Staff possess the appropriate skills, qualifications and experience to perform the tasks assigned to them which shall include supervisory skills, and that they shall be available at such times as are necessary to perform the Services. The Provider shall ensure that all its Staff are in possession of valid work permits if they are non-European Community nationals. For the avoidance of doubt, it is expressly stated that it is not the intention of the Parties that any Staff shall transfer to the School. The Provider is responsible for making appropriate deductions for tax and National Insurance contributions from the remuneration paid to its Staff. Where training of Staff is reasonably required for the purposes of performance of this Agreement, the Provider shall be responsible for arranging such training and for all costs associated with such training unless otherwise advised by the School. The Provider shall have no claim against the School if this Agreement is terminated due to incomplete training of its Staff. The School may by written notice to the Provider object to a member of the Provider’s Staff if such person is in the School's view incompetent, negligent, dishonest or guilty of misconduct and the Provider shall immediately remove such person from performing the Services and provide a suitable replacement where requested by the School. The Provider shall provide, and shall ensure its Staff wear at all times when engaged in the provision of the Service, an identity card which identifies them as one of the Provider’s Staff. The Provider shall ensure that, while engaged in the provision of the Services, its Staff are at all times polite, helpful and respectful to the Pupil(s), members of the public and the School’s staff. The Provider shall ensure that its Staff do not use working methods that might endanger the Pupil(s), members of the public, the School’s staff, or which might lead to damage to property belonging to the Local Authority, the School, the Pupil(s) or third party or otherwise. If the Provider’s Staff discover any dangerous substance during the course of the Service that gives rise to fear the safety of the Provider’s Staff, the Pupil(s), Local Authority staff or members of the public, the Provider shall immediately notify the School Representative and the appropriate emergency services. Management and Staffing. 2.01. BRYAN shall be responsible for providing College Station Library Services. COLLEGE STATION shall pay for these services as set forth in this Agreement, including Exhibits “A” and “B”, which are attached hereto and incorporated by reference herein.
Management and Staffing. 4.1 The District Administrator shall efficiently administer and manage the day-to-day operation of the Premises in accordance with the terms and conditions of this Agreement. Management and Staffing. 5.1. The daily operations of MI’s System shall be under the direct supervision and control of an Operations Manager hired and supervised by BVU. The Operations Manager shall be a full-time employee of BVU and, at all times during the Manager’s employment, shall report directly to, and be subject to the direction and supervision of BVU. The Operations Manager shall devote such time and effort to the operation and maintenance of MI’s System as are required to fulfill BVU’s obligations under this Agreement. To the extent that duties of the Operations Manager in fulfilling the terms of this Agreement do not require the Manager’s full time and effort, the Operations Manager may perform such other activities and engage in such other duties as are requested, from time to time, by BVU, which activities and duties need not be related to the provision of services under this Agreement; provided, however, that the operation and maintenance of MI’s System pursuant to the terms of this Agreement shall receive first priority over any other activities and duties assigned to the Operations Manager by BVU. Provided further, MI shall be responsible for reimbursing BVU only for that portion of the Manager’s salary and benefits and other necessary expenses related to services performed on MI’s behalf under this Agreement.
